Item 5 – Fees and Compensation
A. Fees Received
A written solicitor agreement is made between RTM and each investment adviser. The
solicitor agreement is negotiated with each investment adviser. RTM receives as
compensation, a percentage of all investment advisory fees received by the investment adviser
as a result of RTM’s efforts. The percentage received by RTM is negotiated by RTM and the
investment adviser.
B. Payment of Fees
Compensation to RTM is paid solely from the investment adviser’s fee received from the
solicited client. The fees received by RTM are not passed on to solicited clients.
The solicitation fees are paid for as long as the investment adviser receives adviser fees from
the solicited client, as indicated in the written agreement between RTM and each investment
adviser.
To ensure that prospective clients understand the relationship between RTM and the
investment adviser, RTM gives prospective clients a Solicitor’s Disclosure Statement. The
Disclosure Statement describes the nature of RTM’s relationship with the investment adviser
including compensation that RTM would receive. Solicited clients are required to sign a
Disclosure Statement, and RTM gives a copy to the investment adviser.
Solicitation fees are payable to RTM quarterly within 10 days following the date the
investment adviser receives payment of the investment advisory fee from the solicited client.
RTM does not manage assets or execute any transactions. RTM does not receive any other
fees or compensation.

Item 7 – Types of Clients
RTM solicits clients for investment advisers that are SEC registered, state registered or exempt
from registering. RTM refers or solicits as clients to the investment adviser, institutional
investors, pension funds or other legal entities it believes are suitable and appropriate and
would benefit from the advisory services provided by the investment adviser.
