Item 5 – Fees and Compensation Each investor in the RV Capital Cayman Fund is typically charged a monthly management fee equal to 1.0-1.75% of net assets and an annual incentive fee equal to 15-20% of the net appreciation of each account at the end of each fiscal year, subject to a high watermark. Each investor in the RV Capital Asia Opportunity Enhanced Return Fund is typically charged a monthly management fee equal to 0.6-1.8% of net assets and an annual incentive fee equal to 20- 30% of the net appreciation of each account at the end of each fiscal year, subject to a high watermark. Each investor in the RV Capital Liquid Asia Credit Opportunity Fund is typically charged a monthly management fee equal to 1.25-1.5% of net assets and an annual incentive fee equal to 20% of the net appreciation of each account at the end of each fiscal year, subject to a high watermark. Each investor in the RV Capital India Feeder VCCs is typically charged a quarterly management fee equal to 0-1.75% of committed capital and actively invested capital (as applicable) and carried interest equal to 0-20% of distributable proceeds, subject to a return of principal with an 11% hurdle rate per annum compounded annually in Indian Rupee terms. Fees may vary for different accounts and investors in the RV Capital Funds depending, for example, on the size of the account and the date an investment was made. Management fees are ordinarily paid monthly in arrears and prorated for any period less than a full month. In some instances, especially for managed accounts, management fees which are calculated monthly may also be aggregated and paid on a quarterly basis. Performance fees or allocations generally accrue monthly and are paid annually in arrears or upon termination of an account or withdrawal of an investment in an RV Capital Fund. Fees may also vary for investors in the RV Capital India Feeder VCCs depending, for example, on the size of the investment and the date an investment was made. Management fees are ordinarily paid quarterly in arrears and prorated for any period less than a full quarter. Carried interest generally accrues and is paid on any distributable proceeds from the RV Capital India Feeder VCCs, subject to a return of principal with an 11% hurdle rate per annum compounded annually in Indian Rupee terms. All investors in the RV Capital Funds and the RV Capital India Feeder VCCs should review the governing documents for the relevant fund for more complete information about the fees payable with respect to the particular fund. RV Capital Management, in its discretion, may negotiate, waive or modify the management fee or incentive allocation for certain client accounts or investors in an RV Capital Fund, including employees and affiliates of RV Capital Management, without entitling any other investors to a waiver or modification. Investors in the RV Capital Cayman Fund may withdraw all or a portion of their investment effective at the end of each month upon prior written notice with a notice period of at least 30 days that may extend up to one year. Investors in the RV Capital Asia Opportunity Enhanced Return Fund may withdraw all or a portion of their investment effective at the end of each month upon prior written notice with a notice period of at least 30 days. Investors in the RV Capital Liquid Asia Credit Opportunity Fund may withdraw all or a portion of their investment effective at the beginning of a specified month as determined by the fund’s directors upon prior written notice with a notice period of at least three calendar months. Investors in the RV Capital India Feeder VCCs may not withdraw all or a portion of their investment as this is a closed-ended fund. An agreement with a client may be cancelled as mutually agreed upon between the parties and specified in such agreement. Upon termination of any account, any earned, unpaid fees will be due and payable. RV Capital Management’s fees are exclusive of brokerage commissions, transaction fees, custodial fees, and other costs and expenses that will be incurred by the client account. Clients may incur other charges imposed by custodians, brokers, or other counterparties, as well as interest and commitment fees on loans and debit balances, research and data service costs, transfer taxes, wire transfer and electronic fund fees, and other fees and taxes on brokerage accounts and securities transactions. The RV Capital Funds and the RV Capital India Feeder VCCs also incur certain operating expenses, including administration, accounting, tax, legal, and directors’ fees and expenses. See Item 12 (Brokerage Practices) below for more information about the brokerage commissions that will be incurred by clients of RV Capital Management. |

Item 7 – Types of Clients RV Capital Management provides portfolio management services to the funds referenced in Item 4 above, which are organized as Cayman Islands exempted corporations, sub-funds of a Singapore Variable Capital Company, standalone Singapore Variable Capital Companies, an Irish UCITS fund as well as managed accounts. Clients and investors in the RV Capital Funds and the RV Capital India Feeder VCCs may include high net-worth individuals, endowments, foundations, funds of funds, family offices and other investors. The RV Capital Funds and the RV Capital India Feeder VCCs are offered exclusively to non-U.S. persons (as defined in Regulation S under the U.S. Securities Act of 1933, as amended) and U.S. persons that qualify as both “accredited investors” (as defined in Regulation D under the U.S. Securities Act of 1933, as amended) and “qualified purchasers” (as defined in Section 2(a)(51) of the U.S. Investment Company Act of 1940, as amended). |
