Item 5:        Fees and Compensation
The Fund

The Fund will not pay the Adviser any management fees in connection with any advisory
services the Adviser provides to the Fund. However, the Adviser does receive annual
management fees and expense reimbursements from each of the Fund’s portfolio companies.
In addition, the general partner of the Fund will be entitled to receive a carried interest
allocation from the Fund after certain performance hurdles have been met, as further
described in the Fund’s Governing Documents. Such carried interest represents a portion of
the Fund’s net investment profits.

The Fund bore all costs and expenses incurred in connection with the organization of the
Fund and transaction expenses of the lead investor in respect of the formation of the Fund;
although the lead investor expenses payable by the Fund were subject to a cap, as set

forth in the Governing Documents. In addition, the Fund bore one-half of certain transaction-
related expenses in connection with the restructuring of a predecessor company into the
Fund and culminating in the Fund’s ownership of the portfolio companies, including
premiums and underwriting expenses associated with a representation and warranty
insurance policy obtained in connection with the transaction.

The Fund is responsible for all expenses relating to its own operations, including:

(i)       all out-of-pocket costs of the administration of the Fund, which administrative
          services may be provided by third parties (including fund administrators that
          perform anti-money laundering or “know your customer” diligence in connection
          with the onboarding and ongoing participation of limited partners) or by affiliates
          of the Adviser, including administrative, tax and accounting, audit, third party
          alternative investment fund manager, independent director, legal, paying agent,
          depositary, safekeeping and other professional fees and expenses, reasonable
          costs of holding any meetings of partners (including meetings of the Limited
          Partner Advisory Committee) or with individual partners, or any other conference
          or meeting (including via telephone, webcast or other video conference) with any
          limited partner(s) and any periodic meeting, conference and/or event involving
          the management of any portfolio company and/or other persons (in each case,
          including any costs associated with venues, set-up, room and board, travel (at rates
          not exceeding a first-class equivalent fare), accommodations, meals and beverages,
          events and speakers, registration fees, dining, reasonable entertainment, gifts,
          mementos, honoraria, materials and other reasonable costs related to any such
          meeting or conference and any reimbursements related thereto, regardless of
          whether all of the individuals attending or otherwise participating in any such
          meeting are partners or representatives thereof), fees, costs and expenses
          allocable to the participation of any employee of a portfolio company as a
          beneficiary of any insurance policy or benefit plan of the Adviser or an affiliate
          thereof, costs of any liability insurance obtained with respect to any indemnified
          person, fees, costs and expenses incurred in connection the processing of any
          subscription agreements, fund administration software and related services, fees,
          costs and expenses incurred in connection with administering side letters entered
          into with limited partners (including any software used in connection therewith),
          including the distribution and implementation of any applicable elections
          pursuant to “most favored nation” or similar clauses in side letters (and, in each
          case, including any software and related services used in connection therewith),
          fees, costs and expenses associated with reporting and providing information and
          statements to existing and prospective limited partners on Fund or portfolio
          company-related matters, including the preparation and dispatch to the partners
          of distributions, financial reports, U.S. Internal Revenue Service Schedules K-1 (and
          any similar or equivalent tax forms of an applicable jurisdiction) and other tax
          filings and notices required pursuant to the Fund’s limited partnership agreement
          and other Fund-related reporting obligations including expenses associated with
          the maintenance of books and records of the Fund, costs and expenses associated
          with the maintenance of data rooms, any Freedom of Information Act or Open
          Records statute (or similar) responses or other communications, including all
          internal and third-party printing (including a flat service fee), publishing
          (including time spent performing such printing and publishing services) and
          reporting-related expenses in respect of the Fund and its activities;

(ii)    fees, costs and expenses relating to appraisals and valuations (including third-
        party valuations, fairness and solvency opinions, appraisals or pricing or data
        provider services as well as fees, costs and expenses related to the establishment
        or maintenance of such services and subscriptions to any valuation databases);

(iii)   all taxes, including any withholding, transfer or other taxes imposed on the Fund,
        governmental charges, registrations, fees and duties imposed on or payable by the
        Fund or any subsidiary investment vehicle directly or indirectly owned by the
        Fund (and not properly allocable to a partner), and all expenses associated
        therewith, including those expenses incurred in connection with the registration,

Item 7:        Types of Clients
The Adviser’s client is the Fund. The investors in the Fund include foundations, public and
private pension funds, U.S. and non-U.S. institutional investors, family offices, and high net
worth individual investors. Fund investors are permitted to transfer their Fund interests in
certain circumstances, and accordingly, the Fund’s investor base may change in the event an
investor transfers some or all of its interests in accordance with the provisions of the LPA.
