Fees and Compensation:
SAM no longer refers clients to UBS, however SAM’s previous referral agreement with UBS included an annual
fee of 0.25% on the revenues generated by the assets in the accounts introduced to UBS. Accounts previously
referred may seek to negotiate the fees they pay to UBS, directly with UBS. SAM is paid quarterly in arrears by
UBS, for previously referred clients, and SAM is not a client of UBS, nor an investor in UBS. Referred Accounts
may request to terminate their Investment Advisory Agreement with UBS by providing thirty (30) days’ advance
written notice. Fees are prorated for accounts that close during the billing period. The advisory fee will be prorated
based on the AUM, for the period, as of the termination date or date of death of advisory account.
Other Activities:
Mr. Seymour, Adviser’s Managing Member is affiliated with the following entities and may receive compensation
for these activities: NBC Universal (CNBC Television), and Hot Corner Ventures (DBA” WXOU Radio Bar).
The Adviser will review these activities on an annual basis and determine whether any conflicts of interests exist
and document methods for mitigating them. Additionally, Mr. Seymour is an investment adviser representative
of Magnus and provides advisory services through Magnus.
Potential conflicts of outside affiliations and interests include:
• CNBC: promoting companies or entities where SAM, or Mr. Seymour have interest; Mr. Seymour
provides ownership disclosure and affiliation disclosure updates to CNBC on a regular basis to be posted
on their website.
• Hot Corner Ventures is a bar where Tim Seymour has an ownership interest.
• Magnus and SAM are both registered investment advisors. Mr. Seymour is an IAR of both firms. This
presents a potential conflict of interest, where clients would be directed to one Firm over another. Mr.
Seymour will be directing clients to Magnus only, in order to mitigate this conflict. Additionally, SAM
will only provide advisory services to three ETFs and consulting to one family office. While Mr.
Seymour provides advisory services to the public through Magnus.
• Mr. Seymour spends approximately 40-50/hrs. a month on these affiliations and there could be a conflict
of interest if these outside affiliations and activities provided a time conflict to carry out advisory services
described above. The Adviser will review annually all outside activities to determine whether there is a
time conflict posed. The Adviser will regularly discuss time conflicts with ETF and investment advisory
relationships.
SAM is not registered and does not have an application pending as a securities broker-dealer, futures commission
merchant, commodity pool operator or commodity trading advisor.
No member of SAM has an application pending to register as a CTO, futures commission merchant, CPO, or is a
member of such or acts as any of the following:
• Futures commission merchant
• Banking or thrift
• Accounting firm
• Law firm
• Insurance company
• Pension consultant
• Real estate broker dealer
• LP sponsor |
