Item 5: Fees and Compensation
Spring Bridge provides investment advisory services to the Funds pursuant to investment advisory
agreements. The Governing Documents for the Funds outline the fee structures relevant to the
Funds.

Spring Bridge or its affiliates receive compensation and fees from the Funds based on a percentage
of assets under management (the “Management Fee”) and based on the performance of a Fund’s
portfolio (the “Carried Interest”). As set forth in the Governing Documents, fees and
compensation paid to the Adviser or its affiliates by the Funds are paid or distributed from the
assets of the Funds.

The Management Fee is generally paid on a quarterly basis in advance, and the Carried Interest is
generally distributed at the times set forth in the Governing Documents as further discussed in
Account Minimums and Types of Clients — Form ADV Part 2A (6/29/2021) [Brochure]
Item 7: Types of Clients
As described above in Item 4 of this Brochure, Spring Bridge provides investment advisory
services to pooled investment vehicles, which generally operate as exempt investment companies
under Section 3(c)(7) of the Investment Company Act of 1940, as amended. The Funds are
typically limited to individuals and entities that meet the criteria of “qualified purchasers.”

Prospective Investors should refer to the Governing Documents of each respective Fund for
information on minimum investment requirements. Spring Bridge maintains discretion to
individually reduce the minimum investment required in any Fund vehicle, as described in the
relevant Fund’s Governing Documents.
