Item 5: Fees and Compensation Item 5.A. In general, the Adviser or a General Partner (as applicable) receives a management fee and performance allocation in connection with the provision of advisory services to its clients, the Funds. Investors in a Fund also bear certain expenses in accordance with the Fund’s Governing Documents. Management Fees Generally, the Funds will pay the Adviser, quarterly in advance, a management fee (the “Management Fee”) based on i) for the Metaverse One LP fund, a percentage of the Fund’s net asset value, and ii) for the Snowcrash funds, a percentage of the funds’ total cost basis of investments, and for all Funds at an annual rate equal to 2% as detailed in each Fund’s Governing Documents. The Management Fees and other fees are generally subject to a waiver or reduction by the Adviser, in its sole discretion. Please refer to the Governing Documents of each Fund for complete information on the amount and timing of Management Fee payments. The General Partners, Sfermion, and other persons associated with Sfermion are permitted to receive income from the Portfolio Investments of the Funds in the form of directors, consulting and advisory, management service, transaction, investment banking, legal, financial advisory, brokerage, accounting services, commitment, breakup or broken deal fees or similar fees (“Special Income”). Subject to the provisions of the Governing Documents, such Special Income received as cash or non-cash compensation will generally trigger a “Management Fee Offset” (pursuant to which Management Fees payable to each Fund’s General Partner or Sfermion by such Fund may be reduced by the Fund’s pro rata share) to the extent that such fees are received by the General Partner, Sfermion, or their respective employees. Sfermion employees and related persons may serve as directors of, observers or advisors with respect to, certain companies in which a Fund has fully exited its ownership interest or companies in which a Fund has not invested. Such compensation received by Sfermion employees and related persons from companies that are not active Portfolio Investments of a Fund are generally not subject to the Management Fee Offset, or otherwise shared with such Fund or its Investors. Performance Allocation In addition, the General Partner of the Funds will generally receive a performance-based fee from such Fund’s Investors (the “Performance Allocation”). The precise amount of, and the manner of calculation of, such Performance Allocation is detailed in each Fund’s Governing Documents, but is generally equal to 20% of the net income of the Fund. The Performance Allocation can be waived or reduced for any Investor by the Adviser, in its sole discretion, and the amount and timing of Performance Allocations to be paid will vary across Funds. Item 7: Types of Clients The Adviser’s only clients are the Funds, which are private investment vehicles that are exempt from registration under the Investment Company Act. The Investors participating in the Funds generally include endowments and foundations, pension plans, charitable organizations, fund of funds and certain family offices and high-net worth individuals that meet relevant suitability criteria including “accredited investors,” “qualified clients” and “qualified purchasers.” Investment advice is provided directly to the Funds (subject to the direction and control of the General Partners of the Funds) and not individually to Investors in the Funds. Each Fund generally has a minimum investment amount for potential Investors as provided in the applicable Governing Documents. Such minimum investment amounts may be waived or amended by Sfermion or the applicable General Partner in their sole discretion. |
