Item 5: Fees and Compensation
A. Fee Schedule; Prepayment of Fees and Refunds, Payment Method
Sub-Advised Fund
The RCRIX Manager pays our sub-advisory fees out of the advisory fees it earns from RCRIX. We
do not receive fees directly from RCRIX or from any RCRIX shareholder. Information concerning
the sub-advisory fees paid to us by the RCRIX Manager is set forth in the RCRIX Prospectus.
The Sub-Advisory Agreement is terminable, without the payment of any penalty, on sixty days’
written notice by us, the RCRIX Manager, a vote of the holders of a majority of RCRIX’s
outstanding shares or by a vote of a majority of the Trustees of the Board of Trustees for RCRIX.
Collateral Manager
We receive a collateral management fee as set forth in the collateral management agreement and
offering document for the CDO, which is based on the outstanding principal amount of the assets
collateralized by the CDO as determined by the trustee for the CDO. The fees for the CDO are paid
quarterly.
Valuation
Securities held by RCRIX are valued in accordance with the pricing and valuation procedures
adopted by RCRIX’s board of directors. The market values of the assets of the CDO are based
upon fair-value as determined by us.
B. Other Fees and Expenses
The assets of RCRIX are held in the custody of a bank, trust company, broker-dealer or other
qualified custodian and RCRIX bears any custodial fees associated with such. To the extent that
cash is held in such accounts and fees are charged by the provider of such service, the fees so
incurred by RCRIX will be in addition to the fee payable to us on the overall value of or amount
invested for RCRIX’s account. See Item 15. The investments collateralizing the CDO are held in
the custody of the trustee for the CDO.
RCRIX bears the expenses of its organization (subject to a maximum amount as set forth in
RCRIX’s Prospectus) and all operational expenses incurred in connection with the purchase,
sale, financing and refinancing of investments, and the fees and expenses of third party service
providers to RCRIX. Information concerning such expenses can be found in the RCRIX
Prospectus.
These charges, fees and commissions are exclusive of and in addition to our fees and we do not
receive any portion of these commissions, fees and costs.
Clients will bear brokerage and transaction costs to the extent incurred. For additional
information regarding brokerage and transaction costs, see Item 12 below.
C. Sales Compensation
Neither we nor any of our supervised persons accept or otherwise receive compensation in
connection with the sale of shares in RCRIX or in connection with the sale of any other security
or investment product.

Item 7: Types of Clients
We provide sub-advisory activities to RCRIX, a third-party unrelated registered investment
company. The minimum initial investment amount for RCRIX is described in the RCRIX
Prospectus. Purchases and redemptions of RCRIX shares are subject to various requirements as
further described in the RCRIX Prospectus.
We act as collateral manager to the CDO.
