Item 5: Fees and Compensation

A. Fee Schedule

Portfolio Management Fees

TTA uses an average of the daily balance in the client's account throughout the billing
period, after taking into account deposits and withdrawals, for purposes of determining
the market value of the assets upon which the advisory fee is based.

These fees are generally negotiable and the final fee schedule will be memorialized in the
client’s advisory agreement. Clients may terminate the agreement without penalty for a
full refund of TTA's fees within five business days of signing the Investment Advisory
Contract. Thereafter, clients may terminate the Investment Advisory Contract generally
with 30 days' written notice.

Selection of Other Advisers Fees

Clients will pay TTA its standard fee in addition to the standard fee for the advisers to
which it directs those clients. This relationship will be memorialized in each contract
between TTA and each third-party adviser. The fees will not exceed any limit imposed by
any regulatory agency.

Pension Consulting Services Fees

Fixed Fees

The rate for creating client pension consulting plans is between $5,000 and $100,000. The
final fee schedule will be memorialized in the client’s advisory agreement. This service
may be canceled with 30 days’ notice.

Financial Planning Fees

Fixed Fees

The negotiated fixed rate for creating client financial plans is between $500 and $50,000.

Hourly Fees

The hourly fee for these services is between $225 and $350.

Clients may terminate the agreement without penalty, for full refund of TTA’s fees, within
five business days of signing the Financial Planning Agreement. Thereafter, clients may
terminate the Financial Planning Agreement generally upon written notice.

Fees for LPL Advisory Programs

The account fee charged to the client for each LPL advisory program is negotiable, subject
to the following maximum account fees:

       * The Manager Access Select (“MAS”) account fee consists of an advisory fee of up to 2.35%
       annually and a manager fee of up to 0.60%. See the MAS program brochure for more information.
       ** The MWP account fee consists of an advisory fee of up to 2.35% and a manager fee of up to
       0.60%. See the MWP program brochure for more information.
       *** GWP clients are charged an account fee consisting of an LPL program fee of 0.35% and an
       advisor fee of up to 1.00%. LPL Research currently serves as the sole portfolio strategist and does
       not charge a fee for its services.

LPL serves as program sponsor, co-investment adviser and broker-dealer for the LPL
advisory programs.

TTA and LPL may share in the account fee and other fees associated with program
accounts. Associated persons of TTA may also be registered representatives of LPL.

B. Payment of Fees

Payment of Portfolio Management Fees

Asset-based portfolio management fees are withdrawn directly from the client's accounts
with client's written authorization on a quarterly basis. Fees are paid in arrears.

Payment of Pension Consulting Fees

Fixed pension consulting fees are paid via check. These fees are paid 50% in advance, but
never more than six months in advance, with the remainder due upon presentation of the
plan.

Payment of Selection of Other Advisers Fees

The timing, frequency, and method of paying fees for selection of third-party managers
will depend on the specific third-party adviser selected.

Payment of Financial Planning Fees

Financial planning fees are paid via check and wire.

Fixed financial planning fees are paid 50% in advance, but never more than six months in
advance, with the remainder due upon presentation of the plan.

Hourly financial planning fees are paid 50% in advance, but never more than six months
in advance, with the remainder due upon presentation of the plan.

Payment for LPL Advisory Programs

Account fees are payable quarterly in advance.

C. Client Responsibility For Third Party Fees

Clients are responsible for the payment of all third party fees (i.e. custodian fees,
brokerage fees, mutual fund fees, transaction fees, etc.). Those fees are separate and
distinct from the fees and expenses charged by TTA. Please see Item 12 of this brochure
regarding broker-dealer/custodian.

D. Prepayment of Fees

TTA collects certain fees in advance and certain fees in arrears, as indicated above.
Refunds for fees paid in advance but not yet earned will be refunded on a prorated basis

and returned within fourteen days to the client via check, or return deposit back into the
client’s account.

Fixed fees that are collected in advance will be refunded based on the prorated amount of
work completed at the point of termination.

For hourly fees that are collected in advance, the fee refunded will be the balance of the
fees collected in advance minus the hourly rate times the number of hours of work that
has been completed up to and including the day of termination.

E. Outside Compensation For the Sale of Securities to Clients

Supervised persons are registered representatives of a broker-dealer. Supervised persons
may also be insurance agents. In these roles, they accept compensation for the sale of
investment products to TTA clients.

Item 7: Types of Clients

TTA generally provides advisory services to the following types of clients:

       ❖      Individuals
       ❖      High-Net-Worth Individuals
       ❖      Charitable Organizations
       ❖      Corporations or Business Entities

There is no account minimum for any of TTA’s services. LPL Advisory Programs may have
account minimums as disclosed in LPL Form ADV program brochure.
