ITEM 5: FEES, COMPENSATION, AND TERMINATION OF SERVICES A. Description of Compensation and Basic Fee Schedule The Adviser will charge a Management Fee in connection with the performance of its obligations under the Investment Management Agreement for each Fund. The typical Management Fee is a quarterly fee for management services in an amount equal to 0.50% (2.00% annualized) of the Management Fee Basis, which means (i) during the period beginning on the date of the Fund’s initial closing and ending on the second anniversary of such date, the Fund’s aggregate Capital Commitments and (ii) thereafter, the Fund’s Invested Capital. The Management Fee is payable quarterly in arrears on each of March 31, June 30, September 30 and December 31 (determined based on the average Management Fee Basis for the calendar quarter) during the period commencing as of the Initial Closing (or such later date as shall be determined by the General Partner) and terminating at the time of the filing of the certificate of cancellation of the Partnership. ITEM 7: TYPES OF CLIENTS The Adviser serves as investment adviser to one or more privately offered pooled investment vehicles, including limited partnerships, limited liability companies, and other structures (each, a “Fund”). These minimums are typically disclosed on the website and in the applicable offering documents. The Adviser may, in its sole discretion, waive or reduce minimum investment requirements for certain investors.
