Item 5: Fees and Compensation
The fees applicable to each of the Funds are set forth in detail in the corresponding Fund
Documents. A brief summary of such fees is provided below.
Management Fee
Torque is paid an investment management fee (“Management Fee”) per annum of the net
asset value of the Funds. The Fee will range from 0% to 1.5%, depending on the particular
Fund or class of a Fund. Torque may waive or modify the Management Fee for any investor in
a Fund in its sole discretion.
Performance Compensation
As discussed further below, with respect to certain Funds and classes therein, Torque and/or
its affiliates are entitled to receive performance compensation, ranging from 0% to 20% of net
profits achieved over a high‐water mark and hurdle.

The Partnership features classes offering lower fees in exchange for longer lock‐up periods
and/or increased minimum investment amounts. Torque may waive or modify the level of
performance compensation for any investor in a Fund in its sole discretion.
Other Types of Fees or Expenses
Torque is authorized to incur and pay in the name and on behalf of the Funds certain expenses
which it deems necessary or advisable. The expense policies of the Funds are set forth in the
applicable Fund Documents.
Neither the Investment Adviser nor its employees accept compensation, including sales
charges or service fees, from any person for the sale of securities or other investment
products

Item 7: Types of Clients
Our clients are the Funds, as described in Item 4 above, and the Funds are generally open to,
among others, institutions, pension plans, endowments, family offices, high net‐worth
individuals, financially sophisticated individuals, and other sophisticated investors.
Details of minimum investment requirements and investor eligibility for a Fund can be found
in the applicable Fund Documents.
