Item 5 – Fees and Compensation
Item 5.A.
The specific manner in which the Firm charges fees is established in the relevant governing
documents (“Governing Documents”) for such client. The Firm and/or its affiliates will generally
earn the following compensation from the Funds: (1) a management fee (the “Management Fee”)
as set forth in the applicable Governing Documents; and (2) performance-based compensation
calculated upon a specified percentage of the Client’s return on its invested capital. It is critical
that investors and potential investors in the Funds (“Limited Partners”) refer to the Governing
Documents for a complete understanding of how the Firm is compensated for its advisory services.
The Management Fee will be paid to the Firm periodically by the applicable Funds in accordance
with the terms of their Governing Documents and will be indirectly borne by the investors in such
Funds.
Funds
Generally, the Treville Funds and Gallery Venture Funds pay Treville a fee for investment
management services for each calendar month of between 1.0% and 2.0% per annum of each
underlying investor’s capital account, payable at the beginning of each calendar month subject to
any capital contributions. The Crossbeam Funds pay Crossbeam a fee for investment management
services for each calendar quarter of between 1.0% and 2.0% per annum of each underlying
investor’s capital account, payable at the beginning of each calendar quarter subject to any capital
contributions.
Client Expenses
In addition to paying management fees and performance-based fees, the Funds generally bear the
costs and expenses associated with investment expenses including:
• Expenses in connection with conducting due diligence (including travel-related expenses)
and negotiating terms of investments, regardless of whether such investment is made
• Broken-deal expenses associated with potential investment(s)
• Other expenses reasonably related to a Fund’s operations
Additionally, the Funds bear relevant operating expenses including those listed above as well as
Fund legal, compliance, regulatory, administrative, audit and accounting, and organizational
expenses.
Common expenses frequently are incurred on behalf of the Funds. The Firm seeks to allocate
those common expenses among the Funds in a manner that is fair and reasonable over time.
However, expense allocation decisions may involve potential conflicts of interest (e.g., an
incentive to favor accounts that pay higher incentive fees, or conflicts relating to different expense
arrangements with certain Clients). The Firm may use various methods to allocate particular
expenses among the Funds depending on the circumstances (e.g., pro rata based on assets under
management, relative participation in the transaction related to the expense, etc.). The
determination as to the method or methods used may be based on relative use of the product or
service, the nature or source of the product or service, the relative benefits derived by the Funds
from the product or service, or other relevant factors. The Firm’s expense allocations often depend
on inherently subjective determinations and, accordingly, expense allocations made by the Firm
in good faith will be final and binding on the Funds.
The information provided in this brochure regarding fees and expenses is not intended to be
complete or final and is qualified in its entirety by each Fund’s Governing Documents. Investors
should read and review the Governing Documents of the fund in which they are invested to gain a
full understanding of the types of fees and expenses that are paid for by each fund.
Other Fees
In certain situations, an affiliate of Treville receives compensation for its services as the deal agent
with respect to a loan originated by Treville and participated out to co-lenders. Under those
agreements, the affiliate receives a deal agent fee of approximately 2-3% for managing the
transaction.
An employee of the Firm may receive compensation, including consulting fees, advisory shares,
equity, or other forms of payment, from a portfolio company in which the Firm or its clients have
invested. This may create a potential conflict of interest, as the employee may have an incentive
to recommend or maintain investments in such portfolio companies for personal financial benefit.
The Firm has policies and procedures in place to mitigate such conflicts, including but not limited
to requiring disclosure of such relationships, LPAC approval (as appropriate), oversight by
compliance personnel, and adherence to fiduciary duties owed to clients. |

Item 7 – Types of Clients The Firm’s clients currently consist only of the Funds. The Funds offer interests only to certain qualified investors. Admission to the Funds is not open to the general public and Funds are expected to consist primarily of family offices, high net worth individuals, and institutions. Investors in the Funds are limited only to qualified investors who are “accredited investors” under Rule 501 of Regulation D of the Securities Act of 1933, as amended, and, depending on each Fund’s Governing Documents, either “qualified purchasers” as such term is defined in Section 2(a)(51) of the Investment Company Act of 1940, as amended, or “qualified clients” as such term is defined in the regulations of the Advisers Act. |
