Item 5: Fees and Compensation The fees applicable to each of the Funds are set forth in detail in the corresponding Offering Documents – see the Offering Documents for any defined terms used below. A brief summary of such fees is provided below. Management Fee The Fund will pay the General Partner or an affiliate a fee (the “Management Fee”) for management and investment services in an aggregate amount equal to 2% per annum multiplied by (1) during the Investment Period, each Limited Partner’s aggregate Capital Commitment as of the first day of the relevant quarter, or (2) after the end of the Investment Period, each Limited Partner’s invested capital for investments that have not yet been disposed of or completely written off by the Fund. The Management Fee will be paid in advance at the beginning of each calendar quarter. The Management Fee will begin accruing as of the Initial Closing Date. The Adviser, in its sole discretion, may waive or modify the Management Fee for any Investor. Other Types of Fees or Expenses The Fund will pay all legal and other expenses incurred by the Fund, the General Partner, the Adviser and their respective affiliates in connection with the organization of the Fund, the General Partner and any Related Vehicle (as defined in the Offering Documents), and the offering of interests in the Fund or a Related Vehicle (“Organizational Expenses”). However, any Organizational Expenses in excess of $1,000,000 will be paid by the Fund but borne by the Adviser through a dollar-for-dollar offset of the Management Fee otherwise payable to the Adviser. The Fund will pay, or reimburse the General Partner, the Adviser or their affiliates, as applicable, for its payment of, all fees, costs, liabilities, obligations and expenses relating to the Fund and/or its activities or business (including the Related Vehicles), including but not limited to the following (“Fund Expenses”): (i) Organizational Expenses; (ii) Management Fees; (iii) all fees, costs, liabilities, obligations and expenses related to, or incurred in connection with, the discovery, evaluation, acquisition, structuring, holding, financing, refinancing, development, monitoring, management, restructuring, selling, valuing or disposition of any Fund investment including, without limitation, the fees and expenses of attorneys, accountants, tax professionals, consultants, experts, senior advisors, and other service providers, research expenses, due diligence expenses, travel expenses (including private air travel, but only to the extent such expenses do not exceed the cost of commensurate first class or business class airfare), custodial fees, servicing fees, stamp and transfer taxes and hedging costs, and in each case, regardless of whether any contemplated transaction or investment is consummated and whether or not such activities are successful; (iv) legal, accounting, research, auditing, administration (including fees and expenses associated with any third party administrator used by the Fund and any administration or reporting software, if any), registered agent, information, advisory, valuation, consulting, tax and other professional services fees, costs, liabilities, obligations and expenses and other fees, costs, liabilities, obligations and expenses associated with the ongoing operation and administration of the Fund; (v) all fees, costs, liabilities, obligations and expenses associated with reporting and providing information to the Limited Partners or pursuant to any Related Vehicle agreements, including the costs associated with any web portal, extranet tools, computer software or other administrative or reporting tools for the benefit of the Fund including fees and costs of any third party service providers and professionals relating to the foregoing; (vi) all fees, costs, liabilities, obligations and expenses associated with Limited Partner and LPAC meetings and the reasonable out of pocket expenses of the members of the LPAC in connection with their services; (vii) insurance costs; (viii) indemnification amounts payable to persons entitled to indemnification under the Fund Agreement or any Related Vehicle agreements; (ix) all taxes, stamp and other duties and other governmental charges payable by or on behalf of the Fund or any Related Vehicle and all expenses incurred in connection with any tax audit, investigation, settlement or review of the Fund or any Related Vehicle and related expenses imposed on the Fund or any Related Vehicle; (x) all fees, costs, liabilities, obligations and expenses related to administrative compliance and regulatory filings or reports (including Form PF); (xi) all fees, costs, liabilities, obligations and expenses (including attorneys’ fees) incurred in connection with any threatened or actual litigation, mediation, arbitration or other dispute resolution process or governmental or regulatory investigation, inquiry or proceeding, involving the Fund, any Partner or any Related Vehicle and the amount of any judgement, settlement, fines, penalties, or other amounts paid in connection therewith and all other extraordinary expenses; (xii) fees, costs and expenses (including with respect to any indemnification obligation) paid to any placement agent, provided that 100% of any such fees, costs or expenses paid by the Fund will be offset against the Management Fee; (xiii) all fees, costs, liabilities, obligations, and expenses incurred by the “partnership representative” for the Fund; (xiv) all fees, costs, liabilities, obligations and expenses incurred by the “partnership representative” for any Related Vehicle which is treated as a partnership for tax purposes; (xv) all fees, costs, liabilities, obligations and expenses relating to amendments to, and waivers, consents or approvals pursuant to the constituent documents of the Fund, the General Partner and the Related Vehicles; (xvi) all fees, costs, liabilities, obligations and ... |
