Item 5 – Fees and Compensation
Investment Advisory Services (“IAS”) Fee
or its Investment Advisory Services (“IAS”), TYME Advisors charges an IAS fee ranging from 0.35% to 1.00%

each calendar quarter based on the market value of the account on the last business day of the preceding
calendar quarter. TYME Advisors also maintains a system to track Client capital flows so that each quarter,
Client accounts are billed or credited an IAS Fee based on the capital flow in or out of the Client account.
Agreements may be terminated by giving thirty (30) days’ written notice to TYME Advisors.
Additional fees or expenses clients may pay include:
Clearing Fee

Fund Expenses

proportionate share of the fund’s fee and expenses. TYME Advisors does not share in any portion of the
transaction charges imposed by the custodian holding the client funds or securities.
Hourly Fees
If TYME Advisors and the client agree that TYME Advisors is to provide more detailed services to the client
beyond the scope of services included in the Investment Advisory Agreement such as consulting, Outsourced
CIO, etc., TYME Advisors will charge an additional fee ranging from $100 to $350 per hour for the service. The
type and amount of any fee charged for one of these services is negotiable and is generally based on the
complexity of the work involved. Any agreement for a separate fee will be contained in an additional agreement
between the client and TYME Advisors.

Item 7 – Types of Clients
YME Advisors provides services to individuals and high net worth individuals; corporate pension and

profit-sharing plans; trusts, corporations, and other business entities. TYME Advisors prefers to accept only
portfolios containing at least $1,000,000. Under certain circumstances, such as for portfolios of existing clients’
family members, TYME Advisors may waive its preferred minimum portfolio size.

Investment Philosophy
e believe a thoroughly researched and systematic investment process rooted in common sense will

outperform over time. In our research, we have found that securities and markets reward certain factors and
punish others.

fundamental rationales. These rationales have been validated by thorough research and are implemented daily
as part of our investment process. To maintain, refine and enhance our competitive edge, we remain
committed to a continuous and comprehensive research process.
Monitoring and Research
he investment process will be continuously monitored and augmented by a thorough, quantitatively based

research effort. Our proprietary market exposure models and security management models are updated daily
with the latest data. Estimates of portfolio volatility and expected return are evaluated daily to confirm they are
appropriately targeted. The Investment Team will confirm that risk factor and sector exposures are in line with
risk budgets. Portfolio trading will be initiated only when required to enhance the risk-return profile of the
portfolio and only after expected transaction costs are considered.
e believe that to deliver superior risk adjusted returns over the long term requires a long term information

advantage. To maintain this edge, we constantly engage in statistically based research to find new sources of
alpha, improve portfolio construction and enhance its ability to forecast risk and return. Process enhancements
are considered only after rigorous testing and after all potential implementation impacts are thoroughly
evaluated.

Investment Process
e will seek to exploit uncorrelated market inefficiencies by employing rigorous quantitative models based on

exposures, security specific risk, market risk, multifactor risk model. This last model enables us to forecast how
the portfolio will react to changes in macroeconomic factors. This information allows the Investment Team to
balance the exposure of one security against the exposure of another and to maintain statistically acceptable
risk exposures.
Individual transaction cost estimates are taken into account. This enables us to more accurately manage the
expected risk-return profile of the strategies while appropriately considering liquidity costs in portfolio
construction.

returns, risks and correlations. While this methodology is not perfect, a Monte Carlo simulation allows TYME
Advisors to view probabilities of success with thousands of simulations. Over long timeframes, TYME Advisors
believes this tool is a good source in helping select an individual client’s allocation. Two other factors play into
the asset allocation decision. First, the client’s own preferences and/or risk tolerance. The second is the Firm’s
own opinion based on the data and qualitative information gathered from a particular client. Combining these
three factors, the Firm determines the recommended asset allocation to present to a client.
YME Advisors does not guarantee the future performance of the portfolio or any specific level of performance

in the portfolio, the success of any investment management firm that TYME Advisors may select, or the
success of TYME Advisors’ overall management of the portfolio. TYME Advisors communicates to the client
that the investment decisions and recommendations TYME Advisors makes for the portfolio are subject to
various market, currency, economic, political and business risks. The investment decisions made by TYME
Advisors and/or the money management firms that TYME Advisors selects will not always be profitable.
