ITEM 5 FEES AND COMPENSATION
Award Evaluation and Exercise Evaluation.
Vested offers its Award Evaluation and Exercise Evaluation services free of charge to
individuals who have created an account and engaged with Vested via its online platform. These
customers include prospective, current, and former employees of Covered Companies.
Covered Companies or prospective Covered Companies may choose to pay for Vested
access for current and prospective employees. A Covered Company may choose to provide
proprietary company data to Vested, allowing Vested to apply its Award Evaluation and Exercise
Evaluation services to company-provided data and providing the Covered Company with
additional perspective on its valuation. Covered Companies may enlist Vested to provide these
valuation reports to current Covered Company employees by sponsoring access to Vested’s online
platform. Covered Companies may also request and provide Vested valuation reports to
prospective employees in connection with making equity offers to such prospective employees, in
order to give prospective employees insight into how their equity awards compare to industry
standards and to help prospective employees better understand the current and potential future
value of their Covered Company equity awards.
For these services Vested charges a Covered Company directly for the Award Evaluation
and Exercise Evaluation analysis that is provided to such Covered Company’s current or
prospective employees at a rate of $5 per Vested-registered employee, per month. In such instance,
the underlying employees are deemed the “clients” of Vested, rather than the Covered Company
paying for Vested’s services.
Liquidity Source Matching and Third-Party Adviser Matching.
Vested receives referral compensation from Providers for successful referrals of customers
utilizing its Liquidity Source and Third-Party Adviser Matching services.

ITEM 7 TYPES OF CLIENTS
Vested provides web-based services to individual employees (prospective, current, and
former) of privately held, later stage, venture capital backed companies in the United States. While
Covered Companies may choose to pay for Vested access for current or prospective employees,
the underlying employees are deemed the “clients” of Vested rather than the Covered Companies
paying for Vested’s services.
