 Portfolio Management Services - Wrap Fee Program
 Detailed information about the Waypoints Wrap Fee Program and program fees is provided in the Form ADV Part
 2A, Appendix 1 (Wrap Brochure) that is attached to this Form ADV Part 2A Disclosure Brochure.

 Financial Planning Services Fees
 For stand-alone financial planning services, Waypoints charges the following fixed and hourly fees:

 Fixed Fees
 Waypoints Financial charges a fixed fee of up to $10,000 for broad based financial planning services as contracted
 in advance with the client. Fixed fees may be negotiated at the discretion of the firm. Fixed fee-based clients are
 billed one-half of the fee upon signing the agreement and the balance when the project is completed.

 Hourly Fee
 Some clients will contract to have financial planning advice provided based on an hourly fee of up to $300 per
 hour, depending on the nature of the services provided and the resources required to provide those services. The
 firm’s hourly fees will be negotiated and agreed upon by the parties in advance. Hourly fee-based clients are billed
 upon completion of work performed.

 Prior to engaging Waypoints to provide financial planning services, clients will be required to enter into a written
 financial planning agreement. The financial planning agreement will set forth the terms and conditions of the
 engagement and will describe the scope of the services to be provided. Either party may terminate the financial
 planning agreement by written notice to the other. Any prepaid unearned fees will be promptly refunded to the
 client.

 Compensation for the Sale of Investment Products
 Neither Waypoints nor our Associated Persons receive compensation for the sale of investment products.

                           Performance-Based Fees and Side-By-Side Management - Item 6

 Performance-based fees are based on a share of capital gains or capital appreciation of the client’s assets. Side-
 by-side management refers to the practice of managing accounts that are charged performance-based fees while
 at the same time managing accounts that are not charged performance-based fees. We do not accept
 performance-based fees or participate in side-by-side management. Our fees are calculated as described in the
 Fees and Compensation section above and are not charged on the basis of a share of capital gains upon, or capital
 appreciation of, the funds in your advisory account(s).

 We generally offer investment advisory services to individuals, banks or thrift institutions, trusts, estates, or
 charitable organizations, and corporations or business entities.

 Waypoints does not require a minimum investment to establish an advisory relationship.

                       Methods of Analysis, Investment Strategies and Risk of Loss - Item 8

 Waypoints uses various methods to determine an appropriate investment strategy for your portfolio with the
 goal of reducing risk and increasing performance in each customized portfolio. We seek to recommend
 investment strategies or products that will give you a diversified portfolio consistent with your investment
 objective. We do this by analyzing the various products, investment strategies, and portfolio models that we
 utilize. That analysis includes a review of the structure, cost, and investment performance history of each
 program.
