Item 5: Fees and Compensation
  A. Each SMA is subject to a fixed quarterly management fee, payable quarterly in arrears. Additionally,
     each SMA pays a performance fee which is subject to a high-water mark (the “Performance Fee”)
     equal to a fixed percentage of the net profits at market at quarter end. For purposes hereof, “high
     water mark” means the previous highest trading profits on which a Performance Fee was paid at
     the end of any previous quarter.

  B. Expenses and Taxes. Each party bears its own expenses in connection with the organization and
     operation of an SMA. The Investment Manager will be responsible for and shall pay, or cause to
     be paid, all ordinary office overhead expenses, including rent, employee salaries and other
     compensation of all its employees and other personnel. Each SMA will be responsible for its own
     expenses and taxes as described in the Agreement.

  C. Each SMA is subject to termination and notification limitations as further described in the
     Agreement.

  D. Neither the Investment Manager nor any of its supervised persons accepts compensation for the
     sale of securities or other investment products.
