Item 5 – Fees and Compensation
General Account Characteristics

Described below are general characteristics regarding “other” fees incurred, discretionary
authority, payment of fees, and termination of contracts that will affect your account(s).
Following these disclosures are descriptions of the accounts or services that we offer, the
basic management fee structures and any unique characteristics. For a complete
discussion and disclosure regarding any Account’s services or fee structure, we will
provide a detailed advisory agreement and/or the third-party investment manager’s
Disclosure Brochure and the Form ADV Part 2A, Appendix 1 (wrap fee brochure), as
applicable.

Other Fees

Generally, fees for investment advisory accounts are based on a percentage of the
market value of assets under management, including cash, are negotiable, and will be
debited from your account by the custodian. Therefore, clients with similar assets under
management and investment objectives can pay significantly higher or lower fees than
other clients. However, the advisory fee does not cover charges imposed by third parties
for investments held in the Account, such as contingent deferred sales charges or 12b-1
trails on mutual funds. In addition, each mutual fund or third-party money manager
charges asset management fees, which are in addition to the advisory fees charged by
us. The fees charged by such funds or managers are disclosed in each fund’s prospectus
or Manager’s Disclosure Brochure. The advisory fee also does not cover debit balances
or related margin interest or SEC fees or other fees or taxes required by law. In addition,
certain Accounts require a minimum advisory fee or quarterly maintenance fee that will
be detailed in the applicable advisory agreement.

Payment of Fees

For most accounts, advisory fees are payable quarterly in advance and are automatically
deducted from your account in accordance with your advisory agreement. If your account
is opened during the calendar quarter, it will be charged a prorated fee during its first
billing cycle. This initial fee will reflect the number of days the account was active, from
the start date through the end of that quarter.

Fees are generally based on the market value of assets in your account, as of the last
business day of the previous calendar quarter. We calculate fees using our internal
portfolio accounting system (Black Diamond), which receives daily electronic data feeds
from your account custodian. While the market value we use will typically match the
balance on your custodial statement, discrepancies may occasionally occur due to

dividend accruals, interest, or unsettled transactions at quarter-end.

The method used to calculate your fee depends on the specific manager or investment
program in which you participate. One of the following methodologies will apply:

   •   Tiered Schedule: Your fee is calculated based on the amount of assets you hold
       in each applicable tier as of the quarter-end.
   •   Floating Rate: Your fee is calculated using a tiered schedule but applies only to
       the tier associated with your asset balance at quarter end.
   •   Flat Fee: A single rate is applied to all assets under management, regardless of
       amount.

The specific fee calculation method applicable to your account will be disclosed in the
relevant Disclosure Brochure, Wrap Brochure, and schedule to the advisory agreement
provided to you.

Cash flow transactions greater than $25,000 will be subject to the same billing
procedures.

Termination of Contracts

The advisory agreement can be terminated by either party at any time by written notice.
Fees paid in advance will be prorated from the date the assets leave the ACWM account
and any unearned portion of the fee will be refunded to you.

Certain accounts can impose an early termination fee to cover the administrative costs of
establishing the account, which will be identified in the applicable advisory agreement.

advisory agreement.

Wealth Management Strategies

The following summary provides each program’s typical fee range which may be charged
using one of the fee methodologies described above. Please refer to your advisory
agreement for your specific fee rate and methodology.

   1. Ladenburg Thalmann Asset Management (LTAM) - These portfolios have an
      investment minimum from $25,000 to $100,000 depending on the investment
      objective of the portfolio. For Ladenburg’s ICS program, the investment minimum
      is between $1,000,000 and $2,500,000 depending on the number of strategies
      used. All Ladenburg strategies are wrap accounts that cover most trading, custody,
      and investment advisory costs. The annual fee for all strategies is typically

       between .50% and 1.75%.
   2. Fidelity Managed Account Exchange (FMAX) - FMAX are wrap accounts
      covering most trading, custody, and investment advisory costs in the annual fee.
          a. Strategists Portfolios- The account minimum is $10-$25,000. Annual fees
             are typically between .50% and 1.50%
          b. Separately Managed Account - The account minimum is $50-$100,000.
             Annual fees are typically between .50% and 1.75%.
          c. Unified Managed Account (UMA) - The account minimum is $250,000.
             Annual fees are typically between .50% and 1.75%.
   3. Separate Account Network (SAN) - The account minimums are generally
      $100,000. The annual fees are typically between .50% and 1.75%. They are wrap
      accounts covering most trading, custody, and investment advisory costs in the
      annual fee.
   4. Advisor Managed Portfolios (AMP) - The account minimum is $50,000. The
      annual fee is typically between 0.25% and 1.25%

Financial Planning and Consulting Services

For a full written financial plan, we charge a flat fee up to $3,000 unless agreed upon

Our IARs provide investment advisory services to:

   • Corporations

   • Other business entities

Our minimum account size requirements for opening an account with us are as follows:
