Item 5: Fees and Compensation The fees and expenses associated with investments in a Fund are described in detail in each Fund’s Offering Documents. Arkview acts as investment adviser to the Funds. Either an affiliate of Arkview or Arkview will act as a general partner to each Fund (each a “General Partner”). Investors should refer to the Offering Document and Partnership Agreement of the applicable Fund for a complete description of fees and expenses charged by the Fund, as well as the relevant liquidity terms. Arkview may, in its sole discretion, manage funds or accounts with varying fee structures and different expense payment arrangements. Arkview may also, in its sole discretion, agree in a Side Letter to waive or modify the provisions of a Fund’s Offering Documents, including the fees charged with respect to a certain investor, without obtaining the consent of any other investor. Arkview generally charges a management fee (“Management Fee”) and a carried interest (“Carried Interest”) in connection with its advisory services. The amount of these fees is subject to negotiation between Arkview and its investors in the Funds (generally referred to herein as “Investors” or “Limited Partners”) and is set out in the Partnership Agreements. Arkview generally charges a Management Fee equal to 2.0% on an annual basis of the aggregate capital commitments to a Fund. Upon a date set forth in the Partnership Agreement (the “Stepdown Date”), the Management Fee will equal 2.0% of: (i) the aggregate investment contributions of the Fund’s Investors, less (ii) the aggregate amount of such investment contributions with respect to the portion of each investment that has been disposed of or written down. With respect to payment of the Management Fees as well as other expenses of the Funds, Arkview may draw-down capital commitments from Investors, or may use amounts that would otherwise be available for distribution to such Investors, in order to meet the Fund’s obligation to pay the Management Fee or applicable Fund Expenses. Arkview typically charges Management Fees quarterly in advance. Arkview’s Carried Interest arrangements are described in detail in the relevant Fund’s Partnership Agreement. In general, Arkview will receive Carried Interest with respect to each Fund equal to 20% of all realized profits, subject to an 8% preferred return, as more fully described in the Fund’s Partnership Agreement. In addition to the Management Fee and Carried Interest, each Fund will pay certain expenses relating to the Fund’s activities (“Fund Expenses”). Subject to each Fund’s Partnership Agreement, Fund Expenses generally include all other fees, costs, expenses, liabilities and obligations relating to the Fund and/or its activities, business, portfolio companies or actual or potential investments (to the extent not borne or reimbursed by a portfolio company or potential portfolio company), including all fees, costs, expenses, liabilities and obligations relating or attributable to: (i) activities with respect to the structuring, organizing, negotiating, consummating, financing, refinancing, acquiring, bidding on, owning, managing, monitoring, operating, holding, hedging, restructuring, trading, taking public or private, selling, valuing, winding up, liquidating, or otherwise disposing of, as applicable, the Fund’s portfolio companies and its actual and potential investments (including follow-on investments) or seeking to do any of the foregoing (including any associated legal, financing, commitment, transaction or other fees and expenses payable to attorneys, accountants, tax professionals, investment bankers, lenders, third-party diligence and deal sourcing software (including research, analytics, data enrichment and engagement software and other tools) and service providers, consultants and similar professionals in connection therewith) and any fees and expenses related to transactions that may have been offered to co-investors, for the avoidance of doubt, including the full amount of any such fees and expenses related to unconsummated transactions that, had they been consummated, would have been invested in by one or more co-investors, whether or not any contemplated transaction or project is consummated and whether or not such activities are successful; (ii) indebtedness of, or guarantees made by, the Fund, the General Partner or any affiliate thereof on behalf of the Fund (including any credit facility, letter of credit or similar credit support), including interest with respect thereto, or seeking to put in place any such indebtedness or guarantee; (iii) financing, commitment, origination and similar fees and expenses; (iv) broker, dealer, finder, underwriting (including both commissions and discounts), loan administration, private placement fees in respect of portfolio investments, sales commissions, investment banker and similar services; (v) brokerage, sale, custodial, depository, trustee, record keeping, account and similar services; (vi) legal, accounting, research, auditing, administration (including fees and expenses associated with the Fund’s third-party administrator and administration or reporting software, if any, as well as costs and expenses incurred in connection with engaging one or more administrators and/or similar persons to provide services in connection with anti-money laundering and “know your client” matters, information, appraisal, advisory, valuation (including third-party valuations, appraisals or pricing services), consulting (including consulting and retainer fees and other compensation paid to consultants), tax and other professional services; (vii) reverse break-up, indemnification, damages, termination and other similar fees, including any fees and expenses related to transactions that may have been offered to co-investors, for the avoidance of doubt, including the co-investors’ respective portion of such ... |

Item 7: Types of Clients Arkview provides investment advisory services to pooled investment vehicles operating as private equity funds. The Investors participating in the Funds can include individuals, banks or thrift institutions, other investment entities, university endowments, sovereign wealth funds, family offices, pension and profit sharing plans, trusts, estates, or charitable organizations. Investors are generally “Accredited Investors” within the meaning of Regulation D of the Securities Act of 1933, as amended, and “Qualified Clients” under Rule 205-3 of the Advisers Act. Each Fund generally has a minimum investment amount for third-party investors as provided in such Fund’s Partnership Agreement. Arkview generally is permitted to waive such minimum investment amount but generally will not permit an amount less than $100,000. |
