ITEM 5. Fees and Compensation
Fee Schedule
Aspire Model Portfolios
Aspire is paid a portion of the asset-based advisory fee our Clients charge each of its Underlying Clients whose
accounts are invested utilizing one or more of our Model Portfolios. Aspire’s asset-based fees are charged on a
monthly or quarterly basis in arrears. These fees may be calculated on average daily net assets or assets as of
the end of the previous billing month or quarter. Calculation of fees is typically the responsibility of our Clients
or Model Delivery Programs since Aspire does not have discretionary authority over our Client’s assets and
does not maintain access to the Underlying Client accounts.
Aspire charges an annual asset-based fee for our Model Portfolios which will not exceed 0.45% of assets under
management annually. Fees are negotiable and determined based on certain factors such as the types of
investment vehicles used in the Model Portfolios, the asset classes used in the Model Portfolios, our Clients’
specific requirements, the degree of Client customization in the investment strategy and the amount of
Underlying Client assets a Client has invested in the Model Portfolio(s).
Fees for our Standard Model Portfolios are as follows:
Aspire Core ETF MAPs 0.15% of assets under management annually.
Aspire Income Priority Strategy 0.40% of assets under management annually.
Manager Research
Aspire generally charges an annual fixed fee for Manager Research services. However, Aspire does not have a
standardized fee schedule for Manager Research. Fees are negotiated on a per-client basis and vary based on,
for example, client reporting requirements, the type and number of asset classes included in research,
complexity of customization required by a client, and other criteria.
Thought Leadership
Aspire does not charge for our Thought Leadership communications.
Compensation
For asset-based fee services (e.g., Model Portfolios), Aspire only charges our Clients for fees incurred and will
not deduct fees from our Client’s assets. Aspire does not require and does not offer fees to be paid in advance
for asset-based fee services. However, for fixed-fee services (e.g., Manager Research), Aspire may require fees
to be billed in advance quarterly. If an advisory services agreement between Aspire and our Client is
terminated before the end of the billing period, Aspire will work with our Client to adjust the fee calculation on
a pro rata basis. Any fee paid to Aspire by a client in advance, where associated services have not yet been
provided, will be refunded based upon the terms of the agreement. Aspire does not accept compensation for
the sale of securities or other investment products. Aspire reserves the right to reduce or waive fees at its
discretion. |
