Item 5: Fees and Compensation

The fees applicable to each of the Clients are set forth in detail in the corresponding Client
Documentation. A brief summary of such fees is provided below.

Management Fee

Ferghana is expected to be paid investment management fees (the “Management Fee”) from
the Clients that Ferghana advises. With respect to the SMAs, the relevant Client will pay a
Management Fee of 0.5% of the invested value of the Client’s SMA (that is, the cost basis of
the investments of such Client’s account, subject to adjustments set forth in the applicable
Client Documentation) in respect of each calendar quarter (2% annually). With respect to
other Clients, the Management Fee may also be calculated on the committed capital of the
Client.

With respect to the SMAs, the Management Fee will be invoiced to the Client and payable
quarterly in arrears within fifteen (15) calendar days of receipt of an invoice from the Firm.

The Firm, in its sole discretion, may waive or modify the Management Fee for any Investor.

Other Types of Fees or Expenses

Upfront Fees

In respect of the SMAs, 100% of all original issue discount fees and similar upfront fees
(collectively, “Upfront Fees”) earned on all SMA investment assets will be paid to the Firm,
but the SMA’s actual or anticipated notional share of such Upfront Fees will reduce the
Management Fee payable by the applicable Client on a dollar-for-dollar basis.

Expenses of the Firm

Subject to the terms of the applicable Client Documentation, the Firm and its affiliates will be
responsible for all of its own ordinary administrative and overhead costs, fees, liabilities and
expenses, including all costs and expenses on account of rent, utilities, insurance, salaries,
wages, payroll taxes, bonuses, employee benefits, furnishings, telecommunications and
certain information services and certain office expenses, including office supplies and
equipment and other similar expenses (individually and collectively, “Overhead”).

Expenses of the Client

Subject to the terms of the applicable Client Documentation, each Client, will typically bear
all of the following fees, costs, expenses and other liabilities arising in connection with the
operations of or on behalf of a particular Client, to the extent not paid by any other person or
entity:

    •   fees, costs and expenses incurred in connection with sourcing, investigating,
        identifying, researching, evaluating, developing, initiating, negotiating, structuring,
        making, acquiring, closing, consummating, holding, monitoring, obtaining credit
        ratings or credit estimates, maintaining, financing, refinancing, custody, registration,
        transfer, pledging, restructuring or otherwise disposing of any investment or any
        potential investment and all other similar transaction-based fees including: (i) fees,

    costs and expenses incurred in connection with deal initiation, banking (including
    investment banking), brokerage, underwriter (whether in the form of commissions or
    discounts), finders, syndication, hedging, valuation, appraisal, due diligence,
    custodial, trustee, administrative, registered or collateral agent, record keeping,
    lending, legal, attorney, accounting, auditing, administrator, tax, advisory, compliance
    and consulting services; (ii) any costs, liabilities, losses, claims, damages and expenses
    incurred by, and any reimbursement and/or indemnification claims of, any agent
    under the credit documents or seller or agent under any participation agreement
    associated with any loan or other investment of the Client, for which such entity has
    recourse against the Client as a lender under such credit documents or as a participant
    under such participation agreement; (iii) fees, costs and expenses incurred in
    connection with business development (including attending industry conferences)
    and obtaining research, data, analytics, business intelligence (including any “expert
    networks”), modelling, structuring, pricing and execution services, in each case, that
    are incurred in connection with the operation, administration or carrying on of the
    investment activities or other operations of the Fund or SMA, as the case may be,
    including the fees, costs and expenses of any subscriptions and any computer
    terminals for the delivery of such services and the compensation of related service
    providers; (iv) fees, costs and expenses of any hedging transactions intended to hedge
    currency exposure or manage the duration of interest rate exposure; (v)
    indemnification, reimbursement or similar obligations incurred in connection with
    any investment or any potential investment; (vi) borrowing costs; and (vii) Travel and
    Related Expenses (as defined below);
•   fees, costs and expenses incurred in connection with: (a) travel by way of and up to
    the cost of private, charter, first or business class travel, (b) use of livery or other
    automotive (i.e., car) services, including reimbursement of mileage, (c) lodging and
    accommodations, (d) personal and business meals; and (e) business entertainment (in
    each case, irrespective of whether such fees, costs and expense are incurred in
    connection with investment-related matters or potential investment-related matters
    or the operation, administration or carrying on of the activities and operations of the
    Fund or SMA, as the case may be) (“Travel and Related Expenses”);
•   any and all fees, costs or expenses incurred in connection with any potential
    investment that is not ultimately made, including any fees (including commitment,
    termination and break fees, as well as “reverse” termination and break fees), or any
    deposits or working capital payments, that are payable or forfeited in connection with
    any potential investment that is not ultimately made (“Broken Deal Expenses”);

Item 7: Types of Clients

Our Investors will generally be institutional investors offered investment advisory services
through SMAs and Funds advised by us. The Funds are expected to be offered to, among
others, certain eligible institutions, pension plans, endowments, high net-worth investors,
financially sophisticated investors, and other eligible Investors.

At least initially, the Firm intends to provide investment advisory services pursuant to an SMA
arrangement.
