ITEM 5: FEES AND COMPENSATION
Collective Product Line Compensation
• Advisory or Management Fee: See below
• Agency Commission: Up to 10% of the transaction value (paid to Augment Capital, LLC, the affiliated
broker-dealer, as a commission for facilitating purchases and sales of securities).
• Transaction Markup: Yes (on occasion, investors in a Series pay a subscription price for the securities
that is higher than the acquisition cost paid by the Fund).
• Performance or “Carry” Fees: In limited circumstances
Not all fees, and not all fee maximums are charged in each case. Augment Advisors, LLC does not currently charge
a separate advisory or management fee to clients of the Series/SPVs. Rather, its affiliated broker-dealer (Augment
Capital, LLC) may receive an agency commission for facilitating purchases and sales of securities. In certain cases,
Augment Advisors, LLC may facilitate a transaction, such that the price paid by the Series/SPV may be higher than
acquisition cost, resulting in a markup; such markups are not advisory fees. Investors should refer to their
subscription and trade documents for the specific compensation structure on any transaction. Augment Advisors,
LLC does not currently charge a performance or carry fee, however in very limited circumstances, a performance

fee may exist linked to the underlying asset (i.e. the asset may be fund interests which are subject to a carry fee).
In these cases, that fee is passed through to the investor. Any fees will be fully disclosed in advance.
Multi-Asset Product Line Compensation
• Advisory or Management Fee: Up to 2% of the Assets Under Management annually (charged each quarter
on a pro-rata basis in advance, based on the amount of assets under management at the date of payment.
The fees are deducted from the assets in the Multi-Asset Fund.
• Agency Commission: Up to 10% of the transaction value (paid to Augment Capital, LLC, the affiliated
broker-dealer, as a commission for facilitating purchases and sales of securities).
• Transaction Markup: Yes (on occasion, investors in a Series pay a subscription price for the securities
that is higher than the acquisition cost paid by the Multi-Asset Fund).
• Performance or “Carry” Fees: Yes, up to 20%.

facilitate a transaction, such that the price paid by the Series/SPV may be higher than acquisition cost, resulting in
a markup; such markups are not advisory fees. Investors should refer to their subscription and trade documents for
the specific compensation structure on any transaction. Augment Advisors, LLC may also charge a performance or
carry fee (where permissible). Any fees will be fully disclosed in advance.
Other Compensation
As a general matter, the Parent Company and its affiliates financial benefit from the transactions Augment
recommends. More specifically:
• Our employees may receive compensation from Augment Advisors, LLC for advisory or management
services.
• Augment Capital LLC provides customers with securities brokerage services on a commission basis. Any
such commissions or agency charges are solely for the execution or facilitation of securities transactions
and are separate from advisory activities.
• Augment Capital LLC sometimes pays a placement or referral fee to a third party for potential transactions
or clients that are introduced.
• When Augment Advisors recommends that the Fund, Multi-Asset Fund, or a Series enter into a transaction
through Augment Capital, LLC, a conflict of interest arises because Augment Capital, LLC and its
representatives may receive commissions or other compensation resulting from the transaction. This
conflict could incentivize a recommendation that is in the interest of the affiliate or its employees.
We require that all conflicts of interest arising from such dual roles are disclosed to affected investors at the time
of recommendation or sale. Investors are also informed they may execute securities transactions with other,
unaffiliated broker-dealers if they wish.
Our Code of Ethics requires that all recommendations are made in the client’s best interests, and our Chief
Compliance Officer monitors transactions to ensure that investment needs and suitability standards are prioritized

over any commission interests. Augment Capital, LLC also supervises transactions to ensure compliance with
applicable securities laws and FINRA rules. |

ITEM 7: TYPES OF CLIENTS We provide investment advisory services to the Fund and Multi-Asset Funds. Investors in either must qualify as “accredited investors” under Regulation D promulgated under the Securities Act of 1933, as amended (the “Securities Act”). In certain cases, investors must be “qualified purchasers” as defined under Section 2(a)(51) of the Investment Company Act. |
