Item 5 – Fees and Compensation
Fees
Pathfinder 360 Capital Pool I, LLC and Pathfinder 360 Capital Pool II, LLC, and Pathfinder 360
Capital Pool III, LLC are charged an administrative fee that is a fixed fee paid quarterly in
advance to Pathfinder. Pathfinder 360 Co-Invest Fund I, LLC is charged an administrative fee
equal to a percentage of investment-related capital contributions, payable to Pathfinder upon
the closing of each such capital call. For certain Funds, the administrative fee may be waived
or reduced after the investment period.

Until a Fund receives capital contributions, Pathfinder has the authority to cause the Fund to
incur indebtedness, including from other Pathfinder Funds, for borrowed money to fund any
investment or expense (“Subscription Line Indebtedness”). Subscription Line Indebtedness,
if incurred, would be used to aggregate capital calls to the investors and therefore minimize
the number of individual capital calls that are required to satisfy each Fund’s investments.
Despite the foregoing, any loans to Funds have a non-renewable term and an interest rate not
to exceed the applicable Federal Rate unless approved otherwise by the Investment
Committee. Borrowings will be borne by the relevant Fund and, accordingly, will decrease
net returns of such Fund. Further, it is expected that interest will accrue on any such
outstanding borrowings at a rate lower than the preferred return.

The Funds generally invest on a long-term basis. Accordingly, Administrative Fees are
expected to be paid, except as otherwise described in the Funds’ agreements, over the term of
the Funds, and investors generally are not permitted to withdraw or redeem interests in the
Funds.

Expenses
Each Fund will pay or reimburse Pathfinder for all expenses and costs arising from the
operations and activities of such Fund, disclosed to investors on quarterly Fund financials,
including without limitation the following:

   •   Organizational and startup expenses, including legal, and filing fees and expenses
       incidental to the offering of interests.
   •   An Accounting and Cash Management Fee to a third-party administrator to be paid in
       quarterly in advance for managing and coordinating all capital calls, distributions, and
       overseeing/coordinating the preparation of tax returns and financial statements for
       each Fund.
   •   Expenses for the preparation of each Fund’s financial statements, tax returns and
       filings (including Schedule K-1s), valuation of assets and otherwise associated with
       reporting and providing information to investors.
   •   Organizational expenses, review and negotiation of documentation for prospective
       Fund investments (whether or not consummated), and for any services related to
       capital calls and other investor related needs.

   •   Each Fund’s pro rata share of management fees, carried interest and other fees and
       expenses assessed to the Fund by underlying funds; for the avoidance of doubt, these
       are not items for which Pathfinder will seek reimbursement, but instead will be
       charged to the Funds.
   •   Costs incurred in connection with a defaulting investor.
   •   Borrowing money.
   •   Reimbursement of Pathfinder for out-of-pocket costs expenses incurred in good faith
       relating to its work on behalf of the Pool, including reasonable travel expenses.
   •   Costs incurred in terminating, dissolving and winding up a Fund.
   •   Compliance consulting and regulatory fees and expenses, including, without
       limitation, drafting and filing of all regulatory filings and reports required to be made
       by the Funds or Pathfinder, including, without limitation, Form ADV, Form PF, Form
       D, and state blue sky filings, and the costs incidental to a regulatory examination or
       investigation.
   •   Expenses of the Investment Committee meetings and reimbursement of reasonable
       out-of-pocket costs for the Investment Committee members and Pathfinder and its
       representatives to attend such meetings.

Item 7 – Types of Clients

Pathfinder provides investment advisory services to Funds, as stated in the “Advisory
Business” section above.

The Funds are pooled private investment funds that are offered to institutional investors, as
well as high-net-worth, financially sophisticated individual investors. Interests in the Funds
are not registered under the Securities Act of 1933, as amended, and such Funds are not
registered under the Investment Company Act of 1940, as amended. Accordingly, interests in
the Funds are offered and sold exclusively to Investors satisfying the applicable eligibility and
suitability requirements applicable to private transactions within the United States.
