Item 5 – Fees and Compensation In addition to the information provided in Item 4, Advisory Business, this section provides details regarding our services along with descriptions of each service’s fees and compensation arrangements. Investment Management Services Avior offers investment management services that are based on the client’s individual needs, goals, and objectives. The firm offers a customized and individualized investment program providing the client with advice regarding allocation among various asset classes, ongoing assistance with evaluating and selecting investments and adjusting and rebalancing portfolios. The firm requests that the client notify us if there is ever a change in the client’s financial situation or investment objectives so that the firm can review, evaluate and/or revise any prior recommendations made or services provided. Presently, we work with companies we refer to as a sub-adviser. These companies advises us on the types of securities to buy and sell, and they charge you, the client, a sub-adviser fee based on assets they manage. The custodian charges you a prime brokerage fee per transaction. These fees are in addition to the investment management fee you pay us. We refer to the model utilizing the sub-adviser’s advice as our "SMA model." It is important to note that a sub-adviser will be granted limited power of attorney to trade on your account. We contract with the sub-adviser to assist us in selecting the best-quality investments for you and to help us maximize positive return and diversify against risk, as much as possible. SMA fees may be absorbed by the firm at the option of the IAR. The firm recommends that the client’s assets be maintained in a brokerage account with Charles Schwab Institutional, a division of Charles Schwab & Co., Inc. (“Charles Schwab”), or Fidelity Institutional (“Fidelity”), registered broker/dealers and members SIPC. The client is free to select any account custodian the client wishes. However, if the client wishes to provide Avior with trading authorization on assets we manage, the client is required to establish an account and maintain those assets at Charles Schwab or Fidelity.
