Our firm’s fees are generally a fixed fee based on the scope and complexity of the client’s situation.
Our fixed fees will neither exceed $10,000 annually nor exceed the equivalent of 1.2% of the client’s

signed by the client. Annualized, AUM-based fees are billed on a pro-rata basis monthly in arrears
based on the value of the account(s) on the time-weighted daily average of the month. Fee-based
annuities and 401k plans will be billed quarterly in arrears based on the value of the account(s) on
the time-weighted daily average of the quarter Fees are negotiable and will be deducted from client
account(s). Adjustments will be made for deposits and withdrawals during the quarter. In rare cases,
our firm will agree to directly invoice. Further, it is important to note that our firm will assess

advisory fees on cash and cash equivalents held in client accounts. As part of this process, Clients
understand the following:

    a) The client’s independent custodian sends statements at least monthly showing the market
values for each security included in the Assets and all account disbursements, including the
       amount of the advisory fees paid to our firm;
    b) Clients will provide authorization permitting our firm to be directly paid by these terms. Our
firm will send an invoice directly to the custodian; and
    c) If our firm sends a copy of our invoice to the client, a legend urging the comparison of
information provided in our statement with those from the qualified custodian will be
       included.

*Fees will typically be deducted/invoiced between the 10th and 20th of the calendar month.

The maximum annual fee charged to clients utilizing Third-Party Managers will not exceed the
maximum fee published above for this service. Our firm will debit fees for this service as disclosed in
the executed advisory agreement between the client and our firm. This fee shall be in addition to any
fees assessed by the chosen third-party money manager. The third-party money managers we
recommend will not directly charge you a higher fee than they would have charged without us
introducing you to them. Third party money managers establish and maintain their own separate
billing processes over which we have no control. They will directly bill you and describe how this
works in their separate written disclosure documents.

individual transaction charges. These transaction fees are separate from our firm’s advisory fees and

LLC do not charge commissions on domestic equity and exchange traded fund transactions. Clients
may also pay holdings charges imposed by the chosen custodian for certain investments, charges

the fund’s prospectus (i.e., fund management fees, initial or deferred sales charges, mutual fund sales
loads, 12b-1 fees, surrender charges, variable annuity fees, IRA and qualified retirement plan fees,
and other fund expenses), mark-ups and mark-downs, spreads paid to market makers, fees for trades
executed away from custodian, wire transfer fees and other fees and taxes on brokerage accounts
