Item 5 – Fees and Compensation

The advisory fees payable to Barnett are annual fees subject to the following fee schedule:

Under $250,000 2.75%

$250,001-$1,000,000 2.5%

$1,000,000+ 2.0%

 Fees are calculated by multiplying the assets under management, based on the ending value as of the end of the
respective quarterly period by the relevant percent and dividing such product by four (4). Accounts opened in mid-
quarter will be assessed at a pro-rated management fee. Fees are payable quarterly, in advance and such fees may be
deducted from client's account(s) quarterly within thirty (30) days following the beginning of the quarter for which
said fees will be incurred. Fees for the initial quarter will be adjusted pro-rata based upon the number of calendar
days in the calendar quarter that the Agreement goes into effect. Assets held by Interactive broker have management
fees calculated based on an average daily balance and are paid either monthly or quarterly in arrears. All advisory
fees are negotiable. Barnett Capital Advisors does not receive any additional compensation (commissions,
transaction fees etc.) related to any of its Clients’ accounts.

Fees are calculated on an incremental basis and are subject to change with thirty (30) days written notice.
Notwithstanding the above, certain clients of the Firm with pre-existing relationships may initially be charged fees
which are less than those set out above. With regards to employee related accounts and certain other accounts, the
quarterly fees may be less, depending upon a number of factors, including portfolio size, length of employment and
relationship to the employee.

Barnett maintains a Limited Power of Attorney for all discretionary accounts for the purposes of directing and or
otherwise effecting investments on behalf of the managed account, for the direct payment of the Firm’s fees and or
the payment of commissions, custodial fees and or other charges incurred by the managed account.

To the extent mutual funds are selected to fill components of the overall investment strategy, the annual advisory fee
set forth above does not include the customary fees and expenses associated with investing in mutual funds or other
costs of establishing and maintaining an account with mutual funds including Rule 12b-1 fees and expenses. The client
is advised that, in addition to the annual advisory fee set forth above, each mutual fund in which assets are invested
will incur separate investment advisory fees and other expenses for which client will bear a proportionate share.

The client is also responsible for (i) transaction charges and costs; (ii) postage and handling charges; (iii) direct out-
of-pocket costs incurred by Barnett Capital Advisors arising from the services contemplated under this Agreement;
(iv) separate third party charges for the Account, including transfer fees set forth in the respective prospectus; (v)
certain transaction and settlement costs incurred by Barnett Capital Advisors for Client; and (vi) separate fees, costs,
and expenses resulting from the agreement(s) executed between the client and the custodian.

Barnett acts as a portfolio adviser to a pooled investment vehicle know as a Regulation S security and charges a 2%
management fee and a performance as detailed in Item 6 below. All fees to investors are detailed in the offering
documents of the Regulation S security.

Depending upon the complexity of the situation and the needs of the client, the fixed fee for financial planning services
is between $300 and $12,000,000. Hourly fees are charged at a rate of between $100 to $1000 per hour. A percentage
of assets fee is available at the option of the adviser and individually negotiated. The fees are negotiable and the final
fee schedule will be attached in the Financial Planning Agreement. The fees are withdrawn directly from client account
with client written authorization & Invoiced and payable via cash, check, or wire. Fifty percent of the fees may be

paid in advance with the rest in arrears upon completion. Any unearned advance fees will be refunded. Clients may
terminate their contracts without penalty within five business days of signing the agreement.
