Item 5 - Fees and Compensation General Fee Information Fees paid by clients to participate in the Berkeley Advisors Wrap Fee Program include brokerage expenses (e.g., commissions, ticket charges, etc.) as well as the management fee paid to Berkeley Advisors. Under this inclusive billing alternative, Berkeley Advisors will assess one client fee that captures the management and brokerage expenses collectively. Inasmuch as Berkeley Advisors pays to the broker/dealer the transaction and execution costs associated with client accounts, this can create a disincentive for Berkeley Advisors to trade securities in accounts. In most instances’ clients will be invested in mutual funds (open- or closed-end) and/or exchange traded funds (“ETFs”) though cash, individual equities and bonds, options, futures, and other investment products are available and included as appropriate. The fees noted above are separate and distinct from the internal fees and expenses charged by mutual funds, ETFs or other investment pools to their shareholders (generally including a management fee and fund expenses, as described in each fund’s prospectus or offering materials). The client should review all fees charged by funds, brokers, Berkeley Advisors, and others to fully understand the total amount of fees paid by the client for investment and financial-related services. Portfolio Management Fees Portfolio management services are offered through the Berkeley Advisors Wrap Fee Program. Fees are individually negotiated with each client and range from 0.35% to 1.00% per annum. Factors considered in determining the fee include, without limitation, the value of the client’s assets under management, the types of services requested, the complexity of the relationship, related accounts, account composition, pre-existing client, account retention, the potential for future assets, etc. Some smaller clients are not served under a Wrap Fee Agreement and may or may not be charged a fee. Fees are billed at the beginning of each month or quarter, on the prior months or quarter’s average daily balance. Fees will be assessed pro rata in the event the Investment Advisory Agreement (“Agreement”) is executed or terminated at any time other than the first day of a billing period. The client’s specific fees and applicable billing period (monthly/quarterly) is set forth in the Agreement signed by the client and Berkeley Advisors. Financial Planning Fees Berkeley Advisors may, at its discretion, charge an ongoing monthly or annual fixed fee for financial planning services under a written agreement with the client. The agreement has a minimum period of one-year and will automatically renew for an additional year. The client or Berkeley Advisors may cancel the agreement with 30-day written notice. Berkeley Advisors, at its sole option, may agree to release a client from further obligations under the agreement prior to the first annual period’s end. Berkeley Advisors may, at its discretion, charge a flat, specified dollar fee to provide services ranging from $250 to $10,000 depending on the scope and complexity of services agreed to with a client. Berkeley Advisors may, at its discretion, off-set future monthly fee billings against a flat, specified dollar fee collected which led to new assets under management with the firm. A client may engage for ongoing access to financial planning services for an annual or a monthly fixed fee under an agreement providing detailed information on how each client is charged. In the event a client has assets under management in the Wrap Fee Portfolio program, those fees will off-set fees charges for a fixed fee service. Stand-alone Financial Planning Fees outside of a Wrap Fee Agreement may be collected by check, ACH, electronic payment and/or in conjunction with Portfolio Management Fees. Berkeley Advisors may, at its discretion, make exceptions to the foregoing or negotiate special fee arrangements where Berkeley Advisors deems it appropriate under the circumstances. Either Berkeley Advisors or the client may terminate their Agreement at any time, subject to any written notice requirement of thirty (30) days in the Agreement. Upon termination, any unpaid, earned fees will be due and payable based on the number of days the portfolio was managed prior to the termination date. Refunds are generally not applicable as fees are payable in arrears. However, in the event there are any prepaid unearned fees, Berkeley Advisors will return a pro rata share to the client. Other Compensation Associated Persons of our firm are licensed as independent insurance agents. These persons will earn commission-based compensation for selling insurance products, including insurance products they sell to our clients. Insurance commissions earned by these persons are separate from and in addition to our advisory fees. The sale of insurance instruments and other commissionable products offered by Associated Persons are intended to complement our advisory services. However, this practice presents a conflict of interest because persons providing investment advice on behalf of our firm who are insurance agents have an incentive to recommend insurance products to you for the purpose of generating commissions rather than solely based on your needs. We address this conflict of interest by recommending insurance products only where we, in good faith, believe that it is appropriate for the client’s particular needs and circumstances and only after a full presentation of the recommended insurance product to our client.
