Item 5: Fees and Compensation

                                        A: Fee Schedule

             Portfolio Management Fees

The client can engage BWA on a fee basis to provide discretionary and/or non- discretionary
investment advisory services including limited financial planning and consulting services. The
annual fee is based upon a percentage (%) of the total market value and type of assets placed
under management, generally between 0.5% and 2%. BWA prices its services based upon various
objective and subjective factors. In certain circumstances, BWA, in its sole discretion, may charge
a different fee (higher or lower) to its clients based upon certain criteria such as: the market value
of the assets under management, the complexity of the engagement, the level and scope of the
overall investment advisory and/or consulting services to be rendered. As a result of these factors,
similarly situated clients could pay different fees, and the services to be provided by BWA to any
particular client could be available from other advisers at lower fees. All clients and prospective
clients should be guided accordingly. BWA’s Chief Compliance Officer, Gregory Will, remains
available to address any questions that a client or prospective client may have regarding advisory
fees. Clients may terminate the agreement without penalty for a full refund of BWA's fees within
five business days of signing the Investment Advisory Contract. Thereafter, clients may terminate
the Investment Advisory Contract generally with 30 days' written notice.

BWA uses the value of the account as of the last business day of the billing period, after taking
into account deposits and withdrawals, for purposes of determining the market value of the assets
upon which the advisory fee is based. Fees are charged quarterly either in arrears or in advance,
depending on client circumstances.

           Other Advisers’ Fees

BWA may direct clients to third-party investment advisers. BWA will pay the third-party adviser
the portion of the fee earned. The fees shared are negotiable and will not exceed any limit

imposed by any regulatory agency. The notice of termination requirement and payment of fees
for third-party investment advisers will depend on the specific third-party adviser selected.
Financial Planning Fees

           Fixed Fees

The fixed fee is based upon the complexity of the plan, the hourly rate, and the amount of time
used for creating the financial plan. The hourly rate for creating client financial plans will never go
above $500 per hour. Fees are charged in arrears or in advance depending on client
circumstances. The minimum annual fee for combined assets under management and
financial planning services is $6,000. Fixed fees relate to financial plans and financial planning that
may include, without limitation: investment planning; life insurance; tax concerns; retirement
planning; college planning; and debt/credit planning, each service as further detailed above.

It is anticipated that each financial planning service listed above will take approximately 2-4 hours
of financial planning and therefore the time to complete a financial plan will depend on the
services required by the client. For example, the financial plan for a client requiring only
investment planning, retirement, and life insurance planning will usually require 12-20 hours.

Clients may terminate the agreement without penalty, for full refund of BWA’s fees, within five
business days of signing the Financial Planning Agreement. Thereafter, clients may terminate the
Financial Planning Agreement generally upon written notice.

On-going Financial Planning Fees

           Fixed Fees

The fixed fee is determined based on the complexity of the plan, the hourly rate, the amount of
time spent on the plan, the amount of time spent with the client on an on-going basis, and the
on-going engagement. The hourly rate for on-going financial planning services will never go above
$500 per hour. Fees are charged quarterly in arrears or in advance depending on client
circumstances. The minimum annual fee for combined assets under management and on-going
financial planning services is $6,000.

Clients may terminate the agreement without penalty, for full refund of BWA’s fees, within five
business days of signing the Financial Planning Agreement. Thereafter, clients may terminate the
Financial Planning Agreement generally upon written notice.

                                    B. Payment of Fees

           Payment of Portfolio Management Fees

Portfolio management fees are withdrawn directly from the client's accounts with client's written
authorization, or paid via check, ACH, or credit card. Fees are paid quarterly in arrears or in
advance depending on client circumstances.

For fees deducted directly from client accounts, BWA will use the safeguards below:

    1. BWA will have written authorization from the client to deduct advisory fees from
       the account held with a qualified custodian.
    2. The custodian will send statements, at least quarterly, to the client showing all
       disbursements for the custodian account, including the amount of the advisory fees.
    3. Each time a fee is deducted, BWA will send the qualified custodian notice of the amount
       of the fee to be deducted.
