Item 5: Fees and Compensation
Please note, unless a Client has received the firm’s Disclosure Brochure at least 48 hours prior to signing the
investment advisory contract, the investment advisory contract may be terminated by the Client within five (5)
business days of signing the contract without penalty. How we are paid depends on the type of advisory service
we are performing. Please review the fee and compensation information below.
Investment Management & Financial Planning Services
Our standard advisory fee is based on the market value of the assets under management and is calculated as
follows:
           Assets under Management (“AUM”)                            Annual Advisory Fee

                      Above $500,000                                         1.00%

SWM has a household AUM minimum of $100,000.

Advisory fees are paid in arrears on a quarterly basis based on the Client’s assets under management as of the
last business day of the quarter. The fee schedule is a straight tier. For example, if Assets Under Management
were $3,000,000 as of the last day of the quarter, the quarterly Advisory Fee would be $7,500
(($3,000,000*1.00%)/4). Accounts initiated or terminated during a calendar quarter will be charged a prorated
fee based on the amount of time remaining in the billing period.

Upon Client’s authorization, advisory fees are directly debited from Client accounts, or the Client may choose to
pay by electronic funds transfer or check. In the event that fees are directly deducted, SWM will provide an
invoice as further detailed in Item 15 of this Brochure. We calculate period-end account values after all dividends
and/or interest settle into the account. Therefore, the account value used to calculate advisory fees may differ
from that of the custodial account statement. Our billing invoice will indicate the total account value used to
calculate the advisory fee.

SWM, in its sole discretion, may negotiate to charge a lesser fee or reduce or waive our minimum AUM
requirement based upon certain criteria, such as the complexity of the client’s portfolio, the level of expertise
required to service the account, the staff time involved in servicing the account, pre-existing client relationships,
anticipated future additional assets, dollar amount of assets to be managed, account retention and pro bono
activities among other factors. No increase in the annual fee shall be effective without agreement from the Client
by signing a new agreement or amendment to their current advisory agreement.

If SWM utilizes an Outside Manager, the above fee schedule includes the Outside Manager’s fee. The Outside
Manager will invoice SWM directly for their services. Information about Outside Managers will be provided to
the Client by SWM by delivering the Outside Manager’s Form ADV.

Services may be terminated with written notice at least 30 calendar days in advance. Upon receipt of such
notice, Advisor shall prorate the fees based on the remaining days in the billing period to the date of termination
and collect the prorated fees in advance.

Credits. For clients whose AUM are $1,000,000 or greater, SWM provides certain credits to be used towards
third-party services providers. Specifically, SWM provides clients with a credit of up to $600/year for tax
preparation. We provide recommendations for tax preparation service providers, however, clients are never
obligated to utilize our recommended providers.

Retirement Plan Consulting
Our standard advisory fee is based on the market value of the assets under management and is calculated as
follows:

SWM will be compensated for Retirement Plan Consulting services according to the value of plan assets not to
exceed 1% of the total plan assets. This does not include fees to other parties, such as record keepers,
custodians, or third-party administrators.

The annual fees are negotiable, prorated and paid in arrears on a quarterly basis. The advisory fee is a blended
fee and is calculated by assessing the percentage rates using the predefined levels of assets as shown in the
above chart and applying the fee to the account value as of the last business day of the quarter, resulting in a
combined weighted fee. For example, if total plan assets were valued at $2,000,000, Client would pay an
effective fee of 0.81% with the annual fee of $16,250. The quarterly fee is determined by the following
calculation: (($500,000 x 1.00%) + ($1,500,000 x 0.75%) ÷ 4 = $4,062.50. Accounts initiated or terminated during
a calendar quarter will be charged a prorated fee based on the amount of time remaining in the billing period.

No increase in the annual fee shall be effective without agreement from the Client by signing a new agreement
or amendment to their current advisory agreement. Upon Client’s written authorization, a third-party such as
the Custodian shall directly debit the Plan’s account for the above fees upon receipt of an invoice from Advisor.
This engagement may be terminated with written notice at least 30 calendar days in advance. Since fees are paid
in arrears, no refund will be needed upon termination of the Agreement.
