Item 5: Fees and Compensation

Portfolio Management Services

For Portfolio Management Services, BSI charges a percentage of assets under management (AUM), along with,
if applicable, an annual performance fee (hereinafter referred to as the “Performance Fee”) for eligible and
qualified clients. Please note that performance-based fees are not charged to Maryland resident clients.

The annual Advisory Service Agreement fee is based on a percentage of assets according to the following
schedule:

        a.   $ 100k to $ 500k     1.10% - 1.50%
        b.   $ 500k to $ 1M       1.00%
        c.   $ 1 to $ 3M          0.90%
        d.   $ 3M to $ 5M         0.80%
        e.   $ 5M and above       0.50% to 0.75%
The minimum annual fee is $5,000 and is negotiable with each client. The annual fee will not exceed more than
3.00% of assets under management per year. Portfolio Management fees typically range from 0.50% up to 1.50%
of AUM and are subject to negotiation based on factors such as portfolio size, investment objectives, strategy,
and the complexity of the relationship. Fees may vary depending on the scope of our mandate, advisory
responsibilities, and the functions involved.

In certain cases, BSI may offer investment advisory services on a fixed-fee basis. This fixed fee will be determined
on a case-by-case basis and agreed upon with the client. Fixed fees typically range from 0.25% up to 1.50%.
Under no circumstances will the fixed fee exceed 1.50% of AUM.

The ultimate fees to be assessed will be outlined in the advisory agreement to be signed by the client. Annualized
fees are billed on a pro-rata basis monthly and/or quarterly in arrears based on the value of the account(s) on
the last day of the month or quarter. Fees are negotiable and will be deducted from client account(s).
Adjustments will be made for deposits and withdrawals during the quarter. In rare cases, our firm will agree to
directly invoice. As part of this process, Clients understand the following:

    a) Clients must provide our firm with written authorization permitting direct payment of advisory fees
       from their account(s) maintained by a custodian who is independent of our firm;
    b) Our firm sends quarterly statements to the client showing the fee amount, the value of the assets
       upon which the fee is based, and the specific manner in which the fee is calculated as well as
       disclosing that it is the client’s responsibility to verify the accuracy of fee calculation, and that the
       custodian does not determine its accuracy; and
    c) The account custodian sends a monthly and/or quarterly statement to the client showing all account
       disbursements, including advisory fees.

Please note that for clients charged a fee based on AUM, cash and cash equivalents will be included for billing
purposes.

Billing on Margin

In certain instances our firm will recommend that clients utilize margin loans against their portfolio. It is
important to note that our firm’s advisory fee is charged on the gross value of the assets including both the
clients actual assets and the margin balance. It is further important to note that in order to mitigate conflicts of
interest, our firm will only charge an advisory fee on the margin balance if the interest rate on the margin
balance in addition to our advisory fee maintains a positive carry. (Yield on Pledged Assets > margin balance
interest rate + Advisory Fee).

Additional Fees and Expenses

As part of our investment advisory services, we may invest, or recommend that you invest, in mutual funds and
exchange-traded funds (ETFs). The fees you pay to our firm for investment advisory services are separate and
distinct from the fees and expenses charged by mutual funds or ETFs, as described in each fund’s prospectus.
These fund-related fees typically include an advisory fee and other operational expenses.

In addition to these fees, you will also incur custodial fees, transaction charges, and/or brokerage fees when
buying or selling securities. These charges are typically imposed by the broker-dealer or custodian executing
your account transactions. Please note, our firm does not receive any portion of the fees or charges imposed by
the broker-dealer or custodian.

Where appropriate, we will recommend no-load mutual funds to minimize additional costs. To gain a full
understanding of the total costs you will incur, you should review all applicable fees, including those charged by
mutual funds, ETFs, our firm, and other service providers.

Negotiability of Fees

In certain situations, all fees and account minimums may be negotiable. Additionally, family members and
personal acquaintances of BSI’s affiliated persons may receive advisory services at discounted rates, which are
not available to general clients.

Billing Process

Clients may authorize BSI to deduct advisory fees directly from their accounts held by an independent custodian.
In such cases, the client must provide written authorization to both BSI and the custodian. The custodian will be
notified in writing of BSI’s limited access to the client’s account. If this arrangement is not in place, BSI will bill
clients directly for services rendered.

Termination

Clients have a five (5) business day period from the date of signing the agreement to unconditionally rescind the
agreement and receive a full refund of all fees. After this period, the client may terminate the agreement by
providing written notice, which may range from 5 to 30 days, depending on the specific terms outlined in each

Item 7: Types of Clients

BSI offers a tailored combination of discretionary and non-discretionary advisory services, as appropriate, to a
range of clients, including high-net-worth individuals, ultra-high-net-worth families, trusts, estates, charitable
organizations, corporations, and other business entities. Additionally, BSI may provide investment advice to
foreign-registered and unregistered investment funds, as well as private pooled investment vehicles. In no case
would any clients be recommended to invest in these vehicles.
BSI serves both domestically based clients and foreign entities or individuals, delivering comprehensive
investment strategies designed to meet the unique needs of each client.
We generally do not have account minimums, but recommend that you maintain a balance of $500,000 or more.
