Item 5. Fees & Compensation Separately Managed Accounts Advisor does not have a standard fee schedule. All fees are negotiated with each client based on the services required. Specific services, fees, and payment terms are documented in the advisory agreement executed with the client. Fees are generally subject to a minimum of USD$100,000 annually, but the minimum may be waived or reduced in Advisor’s discretion. Advisor offers both negotiated flat fees and asset-based fees, and the structure may also include a performance fee component. Fees for non-discretionary consulting services start at USD$10,000 per year. Annual fees are generally payable monthly in arrears, but other arrangements may be agreed to and will be documented in the advisory agreement. Performance fees are typically calculated based on a minimum period of one year. Clients are invoiced for fees due, though in some cases we may deduct fees directly from the custodial account if authorized by the client and permitted by the custodian. Other Fees & Outside Compensation Clients are separately responsible for all trading, execution, custody, and service fees incurred in the management of client assets. These fees are charged by third parties, and Advisor does not negotiate or participate in such fees. See Item 12, Brokerage Practices, for more information. Private Funds Fees associated with our Fund include an annual management fee of .50% billed monthly in arrears based on the value of the assets as of the last day of each month. Additionally, each investor is subject to an incentive fee of 15% of the Fund’s excess performance above its stated Benchmark (currently iShares MSCI World ETF, NYSE: URTH). This fee is calculated annually. See Item 6 below for more details related to the incentive fee. Page | 5 Fund expenses have been capped at .30% annually and will include organizational and operating costs, including all trading/clearing/settlement fees, as reflected in the Funds complete offering documents. Fund subscriptions are accepted on the first business day of each month. Redemptions are accepted monthly, with at least 15 days written notice, which may be waived in our discretion. Investors will be subject to early redemption fees as follows: During the first 12 months: 2.0% (redemption in months 1-3) 1.5% (redemption in months 4-6) 1.0% (redemption in months 7-9) .50% (redemption in months 10-12) Early redemption fees may be waived in our discretion. Investors in the master partnership pay fees at the master partnership level. Non-US and tax-exempt US investors investing through the feeder fund, pay fees at the feeder fund level based on the value of the feeders limited partnership interest in the master partnership. The fee burden for both Funds is economically equivalent. All fees for our private Fund are deducted directly from your capital account. We receive no compensation other than our negotiated advisory/performance fees. Lower fees for comparable services may be available from other sources. Valuation As manager to the Fund, Advisor will review and confirm the valuations provided by the Fund custodian. For any hard to value or illiquid holdings, we will determine the fair market value of the assets in the Fund in accordance with our fiduciary duty. |

Types of Clients & Account Requirements We provide services to the following types of clients: • High net worth individuals • Pension and profit-sharing plans • Pooled investment vehicles • Corporations/large institutions • Other registered investment advisors Minimum Account Size Our minimum account size is $10 million, though this minimum may be waived in our sole discretion. Accounts smaller than $10 million who pay our stated minimum annual fee of USD$100,000, whether as a flat fee or as a percentage of assets under management, will pay an effective annual fee greater than 1.0%, which is high for accounts of that size. The minimum investment for our private Fund is $125,000. |
