Item 5 – Fees and Compensation In addition to the information provided in Item 4 – Advisory Business, this section provides additional details regarding our firm’s services along with descriptions of each service’s fees and compensation arrangements. Craft Wealth Services believes that its annual fee is reasonable in relation to: (1) services provided and (2) the fees charged by other investment advisers offering similar services/programs. However, our annual investment advisory fee may be higher than that charged by other investment advisers offering similar services/programs. The exact fees and other terms will be outlined in the agreement between you and Craft Wealth Services. Asset Management Services We charge two separate quarterly fees, paid in advance: (1) an Advice Fee for ongoing advisory services including retirement planning, education planning, insurance analysis, tax planning, as it relates to investment account types, estate planning, cash flow and budgeting guidance, debt management optimization, employer benefits and stock options analysis, social security and Medicare optimization, real estate analysis, periodic financial check-ins, and coordination with other professional advisors; and (2) an Investment Management Fee which covers portfolio management services at three levels: (a) Basic - management of stocks, bonds, ETFs, and cash positions, (b) Intermediate - Basic services plus simple options trading strategies, and (c) Advanced - Intermediate services plus advanced options strategies. Both fees are calculated quarterly in advance based on the market value of the account as of the last business day of the previous calendar quarter and will be directly deducted from your account held at the qualified custodian. The formula used is: [Annual Percentage rate ÷ 4] x [Market Value of Account as of last business day of previous quarter] +/‐ [(Days remaining in quarter ÷ 90) x fee adjustment for inflows or outflows] = Client Fee for the Billing Period The following are our Standard Fee Schedules: 1. Advice Fee Schedule (Based on Assets Under Management): - Up to 1.10% - Up to $500,000 - Up to 0.90% - $500,001 to $1,000,000 - Up to 0.80% - $1,000,001 to $2,000,000 - Up to 0.60% - Over $2,000,000 2. Investment Management Fee Schedule (Based on Strategy Complexity), as determined by Adviser in its sole discretion: - Up to 0.30% - Basic investment strategies - Up to 0.40% - Intermediate investment strategies - Up to 0.50% - Complex investment strategies Fees charged by Adviser under this Agreement will not be based on the capital gains or the capital appreciation of Client’s Account Fees for partial quarters at the commencement or termination of our agreement will be billed or refunded on a pro‐rated basis contingent on the number of days the account was open during the quarter. Fees are prorated based on the number of days service is provided during each billing period. Quarterly fee adjustments for additional assets received into the account during a quarter or for partial withdrawals will also be provided on a pro rata basis. Both the Advice Fee and Investment Management Fee will be deducted from the Account and paid directly to Adviser. Client authorizes the qualified custodian(s) of the Account to deduct these fees from the Account and pay such fees directly to Adviser. A billing invoice will be sent to Client at the same time that any fee deduction instruction is sent to the qualified custodian(s) of the Account, and the billing statement will detail the formula used to calculate the fee, the assets under management and the time period covered. At least quarterly, Client will receive account statements from the qualified custodian(s) of the Account detailing transactions in the Account, including investment advisory fees charged. Client should review the Account statements received from the qualified custodian(s) and verify that appropriate investment advisory fees are being deducted. The qualified custodian(s) will not verify the accuracy of the investment advisory fees deducted. Brokerage commissions and/or transaction ticket fees charged by the qualified custodian will be billed directly to Client by the qualified custodian. Adviser will not receive any portion of such commissions or fees from the qualified custodian or Client. In addition, Client may incur certain charges imposed by third parties other than Adviser in connection with investments made through the Account including, but not limited to, mutual fund sales loads, 12(b)‐1 fees and surrender charges, variable annuity fees and surrender charges, IRA and qualified retirement plan fees, and charges imposed by the qualified custodian(s) of the Account. Management fees charged by Adviser are separate and distinct from the fees and expenses charged by investment company securities that may be recommended to Client. A description of these fees and expenses are available in each investment company security’s prospectus. You should review your account statements received from the qualified custodian(s) and verify that appropriate investment advisory fees are being deducted. The qualified custodian(s) will not verify the accuracy of the investment advisory fees deducted. The asset management services continue in effect until terminated. You may terminate the services by providing Craft Wealth Services with notice. Craft Wealth Services may terminate the services by providing you with written notice effective 30 days after you receive the written notice. Any prepaid, unearned fees will be promptly refunded by Craft Wealth Services to you. Fee refunds will be determined on a pro rata basis using the number of days services are actually provided during the final period. Brokerage expenses and/or transaction ticket fees charged by the qualified custodian are billed directly to you by the qualified custodian. Item 7 – Types of Clients Craft Wealth Services generally provides investment advice to individuals, natural-person clients and High Net Worth Individuals. You are required to execute a written agreement with Craft Wealth Services specifying the particular advisory services in order to establish a client arrangement with Craft Wealth Services. Minimum Investment Amounts Required There are no minimum investment amounts or conditions required for establishing an account managed by Craft Wealth Services.
