Item 5 – Fees and Compensation
Financial Planning Fee
We charge an initial and, for ongoing services, an annual fixed fee for our financial planning and
consulting services. These fees are negotiable but generally range from $1,000 to $10,000 on a
fixed fee basis depending upon the scope and complexity of the services, and the professional
rendering the financial planning and/or the consulting services. We will not require or solicit
prepayment of more than $1,200 in fees per client, six months or more in advance of rendering
financial planning services.
The terms and conditions of the financial planning and/or consulting engagement are set forth
in the Financial Planning Agreement, and the initial fee will be due and payable upon the signing
of the Financial Planning Agreement (i.e., in advance). If ongoing services are selected, the annual
fixed fee will be a recurring fee, collected annually, thereafter. Financial planning fees are
invoiced and typically paid to us by the client directly via credit card or check. If, within 60 days
of signing this agreement, you are not satisfied with the service, quality of work, or
recommendations we provide, we will refund your initial financial planning fee in full. Thereafter,
any unearned fees collected in advance will be refunded to the client on a pro rata basis (i.e.,
based on the number of days) from the date of delivery of the financial plan up to and including
the date of termination. If a client chooses not to implement the financial plan through us on
month 3 after receiving the financial plan, the client will receive a refund of the fees paid in
advance (i.e., months 3-12). For example, if the annual fee of $3,000 for Personal Advice was
paid, we will refund $2,500 ($3,000/12*10). We will charge separately for Investment Advisory
and Portfolio Management services as detailed below.

This refund only applies to the financial planning fee arrangement you have entered into with us;
it does not relate to any investment advisory fees, product charges, surrender charges, or any
other fees, if applicable. The Financial Planning Agreement may be terminated at any time upon
receipt of written notice to terminate given by either party to the other.
Investment Advisory and Portfolio Management Fees
Our investment advisory and portfolio management fees are negotiable on a client-by-client,
account-by-account basis, subject to applicable maximum fees as outlined in this Brochure.
Investment advisory and portfolio management fees are billed monthly, in arrears, based on the
average daily account balance (“ADB”) of the billing period. If your account is not open for the
entire billing period, then the fee will be prorated for the applicable period based on the ADB.
Our investment advisory representatives offer a variety of services and manage a broad range of
client accounts with different mandates, fee structures and expenses. Therefore, they charge
differing investment advisory fees based upon certain criteria (i.e., anticipated future earning
capacity, anticipated future additional assets, dollar amount of assets to be managed, related
accounts, account composition, negotiations with client, etc.). As a result, our clients will pay
diverse fees and costs based upon, among other things, the complexity of the engagement, type
of service(s), investment products used, investment program and strategies employed, and other
third-party-specific costs. This negotiated fee structure also poses a conflict of interest, as it
creates a financial incentive for our investment advisory representatives to provide preferential
treatment to one account over others in terms of allocation of management time, resources, and
investment opportunities. Clients may inquire at any time with their investment advisory
representative as to client-specific fees and costs.
Our investment advisory and program management fee may be a flat or tiered annual percentage,
as further described below, which will be determined prior to signing the Investment Advisory
Contract. Tiered fees are typically used when asset levels are expected to change over time, and
the client prefers a fee that scales with the portfolio. Otherwise, the client is charged the flat fee.
Flat Fee Schedule: A flat fee is based on a constituent (flat or static) percentage fee rate
(%) that is applied to the applicable ADB. For example, under a flat fee schedule, if an
account has an average daily balance (“ADB”) of $500,000, the entire $500,000 would be
charged a maximum investment advisory and portfolio management fee of 1.25%
(annually). If the ADB drops to $100,000 the next billing period, the fee rate remains
1.25% (annually).
Maximum Flat Fee (Annual Rate): 1.25%
Tiered Fee Schedule: A tiered fee is based on a percentage fee rate (%) that corresponds
to the ADB of the account. For example, using the maximum annual tiered fee schedule
illustrated below, if an account has an ADB of $500,000, the entire $500,000 would be
charged a maximum investment advisory and portfolio management fee of 1.15%

(annually). If the ADB drops to $100,000 the next billing period, the fee rate moves to
1.25% (annually), on the entire $100,000.
