Item 5. Fees and Compensation ELITE (“Model Provider”) as a firm will not directly serve retail or private clients and so the fees received would be for services provided only when registered investment advisers (“RIAs”) choose to utilize our models for their clients. With respect to any portfolio services we offer, we do not charge any overlay fee (except when it involves private alternatives, as discussed further below). Instead, compensation will come in the form of a revenue share arrangement with (a) third party managers, or (b) managers of funds and/or exchange-traded funds (ETFs) that are incorporated into the unique portfolio models presented and invested into by the clients of other registered investment advisers. We acknowledge that there may be a conflict-of-interest present when ELITE enters into revenue share arrangements. Although ELITE tries to remain objective, ELITE does have an incentive to recommend products that would increase revenue to ELITE. To help address this potential conflict of interest, ELITE will add further disclosure language on its website, allocator documents and model research output. We will encourage registered investment advisers to disclose this conflict of interest. And suggest they share ELITE´s Form ADV Part 2A Brochure to their clients. The Firm does not base its decision on what underlying investment will be added to the Models upon any revenue share arrangement that is in place. Instead, ELITE intends to build models designed to optimize the performance of the respective portfolios. Many of the model holdings have no revenue sharing agreement. For fees charged by independent third-party money managers, this will be detailed and disclosed in the applicable platform agreements where they are made available. Or, this will be disclosed through a direct fee agreement if the investment adviser contracts directly with the third-party manager on behalf of their client. Fees charged by funds or ETFs will be detailed and disclosed through their prospectus. As mentioned above, we do not charge any overlay fee when we provide portfolio models except when it involves private alternative funds. ELITE may act as a subadvisor, doing added due diligence, research and optimization of portfolios, when working with private funds. In these cases, ELITE may add an overlay fee and share in the fees charged by private funds. The platform provider of these portfolios will disclose such fees. ELITE may in the future also provide consulting services to RIAs to help them develop their investment management processes and portfolio models. In such cases, ELITE would contract directly with the RIA on a fee for service agreement. |
