FEES AND COMPENSATION
As noted above in Item 2, on March 23, 2017, Eton Park announced its decision to return capital
to investors and exit the Funds’ portfolios.
Asset-based management fees, which are described in detail in each Fund’s Constitutional
Documents, are no longer being charged or allocated to Eton Park or its affiliates by the Global
Funds. The Funds’ Constitutional Documents continue to retain a detailed description of the
asset-based management fees that were in effect, even where such fees are no longer being
charged or allocated.

Expenses
The Funds incur and bear their own operating and other expenses including, but not limited to,
investment-related expenses (e.g., brokerage, prime brokerage fees, and other financing,
commissions and expenses (including costs of broker communication systems), clearing and
settlement charges (including costs of order management systems, software and other related
expenses), custodial, cash management and bank fees, interest expenses, expenses related to
portfolio monitoring (including third party systems and software), expenses related to proxy
research and voting services, expenses relating to consultants, attorneys, brokers or other
professionals or advisors who provide research (including market and other data analytics),
advice or due diligence services with regard to investments, appraisal fees and expenses, and
investment banking expenses), legal expenses, accounting, audit, tax preparation and other tax-
related expenses, organizational and offering expenses, insurance expenses, including
premiums, related to insurance policies that cover the Funds, the Board of Directors and
portfolio companies, administration fees and related costs, extraordinary expenses and other
similar expenses related to the Funds, as Eton Park determines in its sole discretion. In addition
the costs associated with liquidation of the Funds are borne by the Funds.
Expenses of each Fund generally will be shared by all of the Investors in the Fund pro rata in
accordance with their investment in the Fund; provided, however, that the Funds will generally
allocate expenses related to a particular Special Investment to the accounts of the Investors
participating in such Special Investment, such allocation to be in proportion to such Investor’s
investment in such Special Investment.1
The Global Funds discontinued making new Special Investments in 2012 but continue to hold certain Special
Investments previously made. See Item 8, “Methods of Analysis, Investment Strategies and Risk of Loss,

TYPES OF CLIENTS As noted above in Item 2, on March 23, 2017, Eton Park announced its decision to return capital to investors and exit the Funds’ portfolios. Eton Park’s Clients are exclusively private investment funds. The Funds are being wound down and are no longer accepting new Investors. Investors in the Funds include institutional investors (including charitable organizations, endowments, pension plans and funds-of-funds), high net-worth individuals and family offices. U.S. Investors in the Funds were required to represent that they were “qualified purchasers” and “accredited investors” at the time of making an investment. Certain employees of Eton Park, their family members, or entities formed for the benefit of these individuals also invested in the Funds, to the extent permitted by applicable laws and regulations. |
