Item 5: Fees and Compensation
Method of Compensation and Fee Schedule
 ASSET MANAGEMENT
 FFD offers discretionary direct asset management services to advisory Clients. FFD charges
 an annual investment advisory fee based on the invested assets under management as
 follows:

       $10,000,000 and above                 0.25%                       0.0625%
 The annual fee may be negotiable based upon certain criteria such as current employees or
 immediate family members of FFD.
 Accounts within the same household or business may be combined for a reduced fee, with
 the exception of clients who have investments within the Pooled Employer Plan (PEP).

    Fees are billed quarterly in arrears based on the average daily balance of the account as of
    the close of business on the last business day of the previous quarter. FFD considers money
    market funds and certificates of deposit to be part of a fixed income asset class and as such
    is included in fee calculations. It is possible that the fees will exceed the money market or
    certificate of deposit yield.
    The average daily balance method is calculated using the formula: (A ÷ D) X F
    Where:
       •   A = the sum of the daily account balances during the billing period;
       •   D = the number of days in the billing period; and
       •   F = the applicable quarterly advisory fee rate.
    For example, during a 91-day quarter, an account maintained a balance of $2,000,000 for 85
    days and a balance of $997,999 for six days. The average daily balance would be calculated
    as follows:
                        �(85 × $2,000,000) + (6 × $997,999)� ÷ 91 = $1,933,934
    Assuming an annual advisory fee of 0.90% (0.225% per quarter), the quarterly advisory fee
    would be:
                                 $1,933,934 × 0.225% = $4,351.35
    Accordingly, the advisory fee charged for the quarter would be $4,351.35.
    Lower fees for comparable services may be available from other sources. Clients may
    terminate their account within five (5) business days of signing the Investment Advisory
    Agreement with no obligation and without penalty. Clients may terminate advisory services
    with thirty (30) days written notice. For accounts opened or closed mid-billing period, fees
    will be prorated based on the days services are provided during the given period. All unpaid
    earned fees will be due to FFD. Client shall be given thirty (30) days prior written notice of
    any increase in fees. Any increase in fees will be acknowledged in writing by both parties
    before any increase in said fees occurs.
    In computing the market value of any investment of the Account, each security listed on any
    national securities exchange or otherwise subject to current last-sale reporting shall be
    valued at the last sale price on the valuation date. However, for assets such as alternative
    investments where a fee is charged and the custodian does not price the security, the asset
    may be priced by the provider of the asset according to their pricing policy or may also
    involve independent pricing services for assets that are priced in that manner. Illiquid assets
    such as alternative investments will not be charged an ongoing management fee. FFD itself,
    does not price any investment or security for which it charges a management fee or that is
    included in the portfolio return.
    VARIABLE ANNUITY MANAGEMENT
    The fees for these services will be based on the same fee schedule noted above for asset
    management services.
    Clients can choose to pay for assets under management fee via the following methods:

   •     Check to be remitted by Client to FFD.
   •     Directly deducted from Client’s account(s) by the custodian on behalf of FFD.
   •     Electronic to be remitted by Client to FFD using Zelle.
ERISA PLAN SERVICES
The annual fees are based on the market value of the Included Assets. FFD offers the
following payment plans:
   •     Pooled Employer Plan (PEP) Annual fee of 0.9% per year.
   •     All other types of plans:
The annual fee for services shall be:

Fees are billed in arrears based on the average daily balance of the account for the previous
quarter (see example above for an explanation of how average daily balance is calculated) as
calculated by the custodian or record keeper of the Included Assets (without adjustments for
anticipated withdrawals by Plan participants or other anticipated or scheduled transfers or
distribution of assets). If the services to be provided start any time other than the first day
of a quarter, the fee will be prorated based on the number of days the account was open
during the billing period.
