Item 5: Fees and Compensation
Method of Compensation and Fee Schedule
 ASSET MANAGEMENT
 FORM offers discretionary direct asset management services to advisory Clients. FORM
 charges an annual investment advisory fee based on the total assets under management as
 follows:

                     $750,000 to $999,999                     1.40%
                       Over $1,000,000                        1.25%
 This is a tiered or breakpoint fee schedule, the entire portfolio is charged the same asset
 management fee. The annual fee is negotiable based upon certain criteria (e.g., historical
 relationship, type of assets, anticipated future earning capacity, anticipated future
 additional assets, dollar amounts of assets to be managed, related accounts, account
 composition, negotiations with Clients, etc.). Fees are billed monthly in arrears based on an
 average daily balance of the account for the month.

 The calculation for the monthly fee in arrears is based on the formula (A x F) x (D/P)
 where:
        A = average daily balance of the account in the billing period
        F = annual fee
        D = number of days in the billing period
        P = number of days in the year
 Lower fees for comparable services may be available from other sources. Clients may
 terminate their account within five (5) business days of signing the Investment Advisory
 Agreement with no obligation and without penalty. After the initial 5 business days, the
 agreement may be terminated by FORM with thirty (30) days written notice to Client and
 by the Client at any time with written notice to FORM. For accounts opened or closed mid-
 billing period, fees will be prorated based on the days services are provided during the
 given period. All unpaid earned fees will be due to FORM. Client shall be given thirty (30)
 days prior written notice of any increase in fees. Any increase in fees will be acknowledged
 in writing by both parties before any increase in said fees occurs.

 FORM charges a minimum annual fee of $1,000 per household for advisory Clients.
 Financial planning services are included at no additional cost for all advisory Clients paying
 the minimum annual fee or an asset management fee. Clients paying the minimum annual
 fee can choose to be billed directly every six months in arrears via invoice payable upon
 receipt. Please note that for accounts less than $50,000, the asset management fee will be

 greater than the fee percentage outlined in the schedule above due to the required
 minimum account fee.
Client Payment of Fees
 Investment management fees are billed monthly in arrears, meaning that we charge you
 after the billing period. Fees are usually deducted from a designated Client account to
 facilitate billing. The Client must consent in writing in advance to direct debiting of their
 investment account. Please see Item 15 for more information.
 FORM, in its sole discretion, may waive its minimum fee and/or charge a lesser investment
 advisory fee based upon certain criteria (e.g., historical relationship, type of assets,
 anticipated future earning capacity, anticipated future additional assets, dollar amounts of
 assets to be managed, related accounts, account composition, negotiations with Clients,
 etc.).
Additional Client Fees Charged
 Custodians may charge transaction fees on purchases or sales of certain mutual funds,
 equities, and exchange-traded funds. Mutual funds, money market funds and exchange-
 traded funds also charge internal management fees, which are disclosed in the fund’s
 prospectus. These charges may include mutual fund transaction fees, postage and handling
 and miscellaneous fees. For more details on the brokerage practices, see Item 12 of this
 brochure.
Prepayment of Client Fees
 FORM does not require any prepayment of fees.
External Compensation for the Sale of Securities to Clients
 Managing Member Jeremy McClymonds is a licensed insurance agent with Ash Brokerage
 and a Realtor with DeLex Realty. Approximately 15% of his time is spent in these activities.
 He receives commissions from the sale of insurance products and real estate.
 This represents a conflict of interest because it gives an incentive to recommend products
 or services based on the commission amount received. This conflict is mitigated by
 disclosures, procedures and the FORM’s fiduciary obligation to act in the Client’s best
 interest. The Client always has the right to decide whether to act upon FORM’s
 recommendations. If the Client does elect to act on any of the recommendations, the Client
 always has the right to choose the professional through whom they will act.

Item 7: Types of Clients
Description
 FORM generally provides investment advice to individuals, high net worth individuals,
 trusts, estates, or charitable organizations, corporations or business entities. Client
 relationships vary in scope and length of service.
Account Minimums
 FORM does not require a minimum to open an account but FORM has a minimum annual
 fee of $1000. Please see Item 5 for more information.
