Item 5: Fees and Compensation

Overview

FoxPath is entitled to receive asset-based management fees from the Funds. In addition, the General
Partner or its affiliate is entitled to receive performance-based compensation (if any) with respect to
the Funds. The Funds will also be charged certain other fees and expenses as discussed below.

The fees applicable to the Funds are set forth in detail in each Fund’s Offering Documents. It is critical
that all Investors refer to the applicable Offering Documents for a complete understanding of how
FoxPath and its affiliates are compensated for advisory services. A brief summary of such fees,
expenses, and compensation (all of which is qualified by and subject to the language of each Fund’s
Offering Documents) is provided below.

All fees are generally negotiable on Investor-by-Investor basis, however, such negotiations are not
arms-length. FoxPath may also arrange co-investment opportunities with certain Investors to invest
alongside the Funds in a particular investment. That arrangement may or may not include management
or performance-based fees that are higher or lower than the fees charged to the Funds.

Lower fees for comparable services may be available from other sources.

Management Fee

As an investment adviser to the Funds as governed by the Offering Documents, FoxPath expects to
receive a management fee. As fully described in each Fund’s Offering Documents, the management
fee for a Fund is typically based on the total capital commitments of the Investors of the Funds during
the investment period and thereafter as a percentage of the net asset value of the Fund’s investments.

The management fees are paid by the Funds quarterly in advance. Management fees are generally
pro-rated for partial periods (i.e., less than a year). In the case of a mid-quarter Investor withdrawal
or liquidation of the Fund, FoxPath will refund a pro rata portion of the management fee at the time
of such withdrawal or liquidation, as applicable.

The management fee will be reduced by certain fees received by FoxPath or its affiliates (as described
below – Other Fees).

FoxPath may reduce, waive or calculate differently the management fee for certain Investors in the
Funds, including but not limited to, members, employees and affiliates of FoxPath.

Item 7: Types of Clients

Currently, FoxPath intends to provide investment advice only to the Funds. Each of the Fund’s Offering
Documents set forth the eligibility criteria for Investors. Subject to the discretion of FoxPath to accept
less, the minimum initial investment threshold for the Funds is $5,000,000.

Each Investor in the Funds generally must be (i) an “accredited investor”, as defined in Regulation D
under the U.S. Securities Act of 1933, as amended (the “Securities Act”) and (ii) a “qualified
purchaser” under the U.S. Investment Company Act of 1940, as amended.
