Item 5, “Fees and Compensation.” Except as noted above, no third parties provide benefits to the Adviser for advice rendered to its Clients. The Adviser’s personnel do not receive a direct share of the revenue generated by the Adviser or its affiliates. However, the broader employee incentive compensation pool for the Adviser’s personnel is funded in part by GE Vernova’s revenue or through GE Vernova’s future stock awards or other equity-aligned compensation, some of which may be indirectly facilitated by Clients’ investments in opportunities that result in GE Vernova equipment sales or fees or allocations paid to the Adviser. As such, the Advisor’s personnel may indirectly receive an economic benefit for providing investment advisory services to Clients. There is presently no direct or indirect compensation for client referrals to any person who is not our supervised person. From time to time, the Adviser or its related persons may enter into placement arrangements pursuant to which it compensates third parties (generally referred to as “placement agents”) to solicit investors for certain Funds. The Governing Documents will disclose the potential entry into such arrangements. Placement agents and their representatives may receive up-front commissions and ongoing fees. Ongoing compensation may differ for different Clients and different placement agents may receive different amounts of compensation. In certain circumstances, the fees payable to any such placement agent will be borne by the Adviser indirectly through an offset against fees otherwise payable to the Adviser, although related expenses incurred pursuant to the relevant placement agent agreement or similar agreement, including, but not limited to, placement agent travel, meal and entertainment expenses, are expected to be borne by the relevant Fund(s). |

Item 7. Types of Clients We will serve Clients through individual advisory arrangements. Currently, our only Client is GE Aerospace. In addition to GE Aerospace, Clients may include other corporate entities, institutional investors, institutional family offices or a Fund(s). Clients investing in Tax Equity strategies are expected to be publicly listed or privately held U.S. tax paying entities that can utilize, on a reasonably current basis, the PTCs, ITCs, and other tax credits and tax losses generated by the Fund’s or corporate Client’s investments in an underlying Project Entity (or portfolio of investments in a collection of Project Entities). Each such Client will need sufficient credit capacity (or provide capacity support) to meet long-term funding obligations, which may include “PAYGO” funding obligations for the durations of PTCs. We do not expect to have retail Clients or to permit retail investors to invest in any Fund. An investor in a Fund that is being advised by the Adviser will not be a client of the Adviser in connection with such investor’s participation or investment in such Fund. Fund interests will be offered and sold under applicable exemptions from registration under the Securities Act of 1933 and each Fund is expected to be exempt from registration as an “investment company” pursuant to certain exemptions provided by the Investment Company Act of 1940. It is expected that each Fund will require investors in such Fund to have the capacity to meet capital call requirements under the Client’s relevant Governing Documents and qualify as: (1) “qualified purchasers,” as defined in section 2(a)(51)(A) of the Investment Company Act of 1940, as amended; (2) “accredited investors,” as the term is defined in Regulation D promulgated under the Securities Act; and/or (3) “qualified institutional buyers,” as such term is defined in Rule 144A promulgated under the Securities Act. Generally, Fund investors are expected to invest at least $25 million, which can be reduced or waived on a discretionary basis in the sole discretion of the Adviser and/or Fund, as applicable. |
