Fees and Compensation.
• Regulatory and operational risks: The Fund is not registered under the U.S. Investment
Company Act, the Securities Act, or the Securities Exchange Act, and therefore does not have to
provide regular pricing or valuation updates.
• Complex tax reporting: The Fund may have a complicated tax structure and may take time to
provide necessary tax information.
• Dependence on GFOAS: GFOAS has exclusive authority to manage the Fund’s operations and
assets.
Potential investors should carefully review all risk disclosures in the full Offering Documents before deciding
whether the Fund is an appropriate investment. The Fund may not be suitable for all investors.
Anyone considering an investment should evaluate the risks outlined in the offering memorandum and

Item 7: Types of Clients
GFOAS’ only investment advisory clients are the Private Funds described earlier in the Advisory Business
section.
Interests in the MMP Funds are generally offered only to certain clients of Truist Bank and its affiliates.
However, GFOAS may choose—at its sole discretion and to the extent permitted under applicable law—to
offer interests to other individuals or entities, including outside third parties, at any time and without notifying
current Fund members. Most investors in the Private Funds are high-net-worth individuals and related
entities such as trusts, corporations, charitable organizations, and other business entities.
To invest in the GFOAS Private Funds, each investor must generally meet two requirements:
• Be an “accredited investor” as defined under Regulation D of the Securities Act of 1933, and
• Be either a “qualified purchaser” under the Investment Company Act of 1940 or a “knowledgeable
employee” as defined in its regulations. |
