Item 5. Fees and Compensation

Management Fee: For services provided to Clients, the Firm is entitled to receive an
annual Management Fee of up to one percent (1%) of the assets it manages in
accordance with the following fee schedule:
   • Less than $500,000 – 1.00%;
   • $500,000 to $999,999 – 0.95%;
   • $1,000,000 to $249,999 – 0.85%;
   • $2,500,000 to $4,999,999 – 0.75%;
   • $5,000,000 to $9,999,999 – 0.65% and
   • $10,000,000 and more – 0.55%.

The Firm may, in its sole discretion, reduce, waive or rebate all or a portion of the
Management Fee with respect to one or more Clients (including the Firm’s affiliates)
for any period of time, or agree to apply a different Management Fee for any Client.

A full description of the entire fee arrangement will be disclosed to the Client in the
relevant IMA. Fees may be deducted directly from a Client’s account, if so authorized
by Client, and as specified in the relevant IMA.

Payment of Fees:

Management Fees: The Firm generally charges Management Fees on a bi-annual
basis in advance. Specifically, Management Fees are calculated based on the total
capital committed by Subscribers in the SPVs for the first three years of the SPV life.
Thereafter, Management Fees are charged on the net asset value of the SPV holdings.
Annual Management Fees for the first year are collected up front. Thereafter,
Management Fees are collected as determined in good faith on a reasonable basis by
the Firm.

Performance Fees: The Firm does not charge performance fees at this time.

Additional Fees and Expenses: Clients will be responsible for all organizational
expenses, operating expenses, and extraordinary expense such as litigation and
indemnity related expense of the Client, and any taxes paid directly by the SPV shall
collectively constitute Fund Expenses. Fund Expenses shall be payable by the Client
(or reimbursed to the Firm if it pays such Fund Expenses on behalf of the Client). With
the exception of any taxes payable by the SPV, Fund Expenses will be capped at an
annual amount of 0.27% of capital committed to the SPV and any additional expenses

 that exceed this amount will be borne by the Manager.

Fees Paid in Advance: The Firm requires that its Clients pays its fees in advance.

Termination of Services: A Client may terminate its agreements with the Firm in
accordance with the terms agreed upon in the relevant IMA. The Management Fee will be
pro-rated for the period in which the cancellation notice was given, and any unearned
fees will be refunded to the Client, if applicable. After a Client’s agreement with the Firm
has been terminated, transactions are processed at the prevailing brokerage rates. Client
becomes responsible for monitoring their own assets and the Firm has no further
obligation to act or provide advice with respect to those assets.

Additional Compensation of Supervised Persons: Neither the Firm nor any of its
supervised persons accepts compensation for the sale of securities or other investment
products.

Item 7. Types of Clients

 Types of Clients: The Firm offers professional advisory services to SPVs which may
 involve discretionary and/or non-discretionary advice.

 The Firm will seek to obtain from its Clients a full, clear and complete understanding of
 the Client’s objectives and risk tolerance as well as investments strategies dictated in
 the fund documents and IMA.
