Item 5 – Fees and Compensation
Management Fee:
Management Fees are calculated based on the amount of marketable securities, cash, and
cash equivalents under management (“Account Value”). Below is the typical fee structure for
individual clients, though fees are negotiable and may vary by client.

The Management Fee is deducted directly from the Clients’ account(s) on a quarterly basis,
in advance, at the beginning of each billing period and assessed based upon the account value
on the last business day of the previous billing period. GGA’s fees are negotiable and may be
waived in whole or in part in certain circumstances at the discretion of GGA.
GGA will not earn management fees as it relates to Client accounts invested in Great Gable
Partners Funds.
With respect to Client accounts which hold alternative assets (including Great Gable Partners
Funds), the respective Client’s custodian may charge the Client a custodial fee related to such
investments. GGA will rebate the custodial fee to each client as part of the following quarter’s
billing process.
Mr. Navab is paid a performance allocation as it relates to GGA Client accounts invested in
Great Gable Partners Funds. Mr. Navab is paid 50% of the total incentive fee earned by the
respective Great Gable Partners Fund in any calendar year in which such fee is earned and
by paid by the Fund’s investors in accordance with the respective Fund governing
documents. Mr. Navab will not be paid a performance allocation if the Great Gable Partners
Fund(s) do not earn such fee in accordance with their respective governing documents.
Mr. Navab also earns a fee related to current Clients where he makes an introduction and
such Clients, on a discretionary basis, pursue opening retirement accounts with Voya
Retirement Services or American Funds. Currently, Mr. Navab is paid a quarterly fee of 25
basis points as it relates to the asset under management in such retirement accounts with
Voya Retirement Services or Class R shares of the American Funds. The fee is assessed on
an annual basis as of year-end and payable at each quarter-end. The terms of Mr. Navab’s
compensation from Voya Retirement Services or American Funds may be adjusted in the
future and accordingly such disclosure will be amended. Further, to the extent Mr. Navab
will receive compensation from other retirement platforms this disclosure will be amended
to reflect such compensation.
Our fees do not include custodial fees, brokerage commissions, transaction costs or other
expenses charged by the client’s custodian or broker. Please refer to Item 12 for information
on our brokerage practices.
GGA does not charge a separate fee for financial planning services offered to Clients.
Neither GGA nor any of its supervised persons accepts compensation for the sale of securities
or other investment products.
Termination:
Our Advisory Agreement may be terminated by the Client or GGA at any time on thirty (30)
days’ prior written notice. All fees will be prorated to the date of termination. |
