Item 5 - Fees and Compensation Comprehensive Portfolio Management Our fee for portfolio management services is based on a maximum annual fixed fee of 2.5% of your assets we manage. Fees for our services may be negotiated based on the “complexity” of your portfolio or financial situation. Complexity comes in many different forms with various measures used by our firm. Our formula is based on the client’s needs and goals and is typically used to for a “negotiated fee” that is mutually agreed-upon at the time of signing our written agreement. Our annual portfolio management fee is billed and payable quarterly in advance based on the value of your account on the last business day of the previous quarter. If the portfolio management agreement is executed at any time other than the first day of a calendar quarter, our fees will apply on a pro rata basis, which means that the advisory fee is payable in proportion to the number of days in the quarter for which you are a client. We will deduct our fee directly from your account through the qualified custodian holding your funds and securities. We will deduct our advisory fee only when you have given our firm written authorization permitting the fees to be paid directly from your account. Further, the qualified custodian will deliver an account statement to you at least quarterly. These account statements will show all disbursements from your account. You should review all statements for accuracy. You may terminate the portfolio management agreement upon receipt of written notice to our firm. You will incur a pro rata charge for services rendered prior to the termination of the portfolio management agreement, which means you will incur advisory fees only in proportion to the number of days in the quarter for which you are a client. If you have pre-paid advisory fees that we have not yet earned, you will promptly receive a prorated refund of those fees. Certain legacy clients operate under the previous fee schedule(s) and are not subject to the above- referenced fees. Consulting Services for Retirement Plans Our advisory fees for these customized services will be negotiated with the plan sponsor or named fiduciary on a case-by-case basis. We typically charge a fixed fee for consulting services, which generally ranges from $250 to 5,000. Our fee is due in advance at the time of signing our written agreement and thereafter typically rendered within 30-days. You may terminate the consulting agreement upon receipt of written notice to our firm. Any prepaid unearned fees will be promptly returned to you less a pro rata charge for bona fide consulting services rendered to date. Selection of Other Advisers Our compensation may differ depending upon the arrangement we have with each MM: (1) a shared fee, or (2) separate and apart fees. For the “shared fee” arrangement, we do not charge you a separate fee for the selection of other advisers. We will share in the advisory fee you pay directly to the MM. The advisory fee you pay to the MM is established and payable in accordance with the brochure provided by each MM to whom you are referred. These fees may or may not be negotiable. Our compensation may differ depending upon the individual agreement we have with each MM. As such, a conflict of interest exists where our firm or persons associated with our firm has an incentive to recommend one MM over another MM with whom we have more favorable compensation arrangements or other advisory programs offered by MMs with whom we have less or no compensation arrangements. For the “separate and apart” arrangement, advisory fees charged by MMs are separate and apart from our advisory fees. Assets managed by MMs will be included in calculating our advisory fee, which is based on our fee described in the Comprehensive Portfolio Management section in this brochure. Advisory fees that you pay to the MM are established and payable in accordance with the brochure provided by each MM to whom you are referred. These fees may or may not be negotiable. You should review the recommended MM's brochure and take into consideration the MM's fees along with our fees to determine the total amount of fees associated with this program. Additional Fees and Expenses As part of our investment advisory services to you, we may invest, or recommend that you invest, in mutual funds and exchange traded funds. The fees that you pay to our firm for investment advisory services are separate and distinct from the fees and expenses charged by mutual funds or exchange traded funds (described in each fund's prospectus) to their shareholders. These fees will generally include a management fee and other fund expenses. You will also incur transaction charges and/or brokerage fees when purchasing or selling securities. These charges and fees are typically imposed by the broker- dealer or custodian through whom your account transactions are executed. We do not share in any portion of the brokerage fees/transaction charges imposed by the broker-dealer or custodian. To fully understand the total cost you will incur, you should review all the fees charged by mutual funds, exchange traded funds, our firm, and others. Compensation for the Sale of Securities or Other Investment Products Persons providing investment advice on behalf of our firm are registered representatives with Purshe Kaplan Sterling (PKS), a securities broker-dealer, and a member of the Financial Industry Regulatory Authority (FINRA) and the Securities Investor Protection Corporation (SIPC). Currently SBIP does not have minimum account size requirements for comprehensive portfolio
management or retirement plan consulting services, however, SBIP reserves the right to accept or decline
a potential client for any reason in its sole discretion. |
