Item 5: Fees and Compensation

A. Advisory Services Fee

The advisory fee is calculated using the value of the assets in the Account on the last
business day of the prior billing period.

These fees are negotiable, and the final fee schedule will be memorialized in the client’s
Investment Advisory Contract (hereinafter “IAC”). Clients may terminate the agreement
without penalty for a full refund of HHCP's fees within five business days of signing the
Investment Advisory Contract. Thereafter, clients may terminate the Investment Advisory
Contract generally with 30 days' written notice.

Consulting Services
HHCP will charge $250 per hour for consulting services. This fee is negotiable as the
services will vary upon the complexity of the client’s specific circumstances and needs.
These fees are separate from Portfolio Management fees and are billed separately for new
and existing clients. The Consulting Services fee for each engagement is negotiable and will
be noted in a separate Consulting Services agreement between the client and HHCP.

Additionally, as part of HHCP’s consulting services, clients may request HHCP to participate
in conference calls /meetings with other legal, tax, or other advisers a client may be

employing. HHCP will charge $150 for the first hour for any such call/meeting, while
charging $100 for each subsequent hour billed in 30-minute increments. If a client wishes
HHCP to meet in-person for such meetings, HHCP will charge an additional $500 for the first
day of such meeting to accommodate additional HHCP time and travel, irrespective of the
meeting’s length/duration, and $100 for each subsequent day of such in-person meeting.
HHCP may charge additional fees in connection with such in-person meetings based on the
particular needs and circumstances of a client, which shall be negotiated in advance. Such
call/meeting charges will be billed in arrears in the following month.

Selection of Other Advisers Fees
HHCP will include any fee paid to the third-party adviser with its standard fee (i.e., there
will be no additional fees from third-party advisers to be paid by clients since HHCP will pay
those fees). This relationship will be memorialized in each contract between HHCP and each
third-party adviser. The fees will not exceed any limit imposed by any regulatory agency.
Currently the firm does not have any affiliations with other advisers. The fees are
negotiable.

Other Fees
For clients wishing or needing to transmit documentation via express mail, the client will
bear all expenses associated with such mailings. Such expenses will be billed in arrears in
the following month.

B. Fiduciary Services Fees
For Fiduciary Services, HHCP charges the following fees (these fees are in addition to
investment advisory services fees):

The Annual Administrative Charge is calculated using the value of the assets in the client’s

in scheduled conference calls /meetings with other legal, tax, or other advisers a client may
be employing. HHCP will charge $250 for the first hour for any such call/meeting, while
charging $100 for each subsequent hour billed in 30-minute increments. If a client wishes
HHCP to meet in-person for such meetings, HHCP will charge an additional $500 for the first
day of such meeting to accommodate additional HHCP time and travel, irrespective of the
meeting’s length/duration, and $250 for each subsequent day of such in-person meeting.
For unscheduled telephone calls, HHCP will charge $50 per call. HHCP may charge
additional fees in connection with such in-person meetings based on the particular needs
and circumstances of a client, which shall be negotiated in advance. Such call/meeting
charges will be billed in arrears in the following month.

For clients wishing or needing to transmit documentation via express mail, the client will
bear all expenses associated with such mailings. Such expenses will be billed in arrears in
the following month.

Fiduciary Services fees are negotiable, and the final fee schedule will be memorialized in the
client’s Fiduciary Services Agreement.

C. Miscellaneous Administrative & Processing Fees
HHCP also charges administrative and processing fees in connection with certain functions,
including facilitating wire transfers, non-standard required minimum distributions,
retirement plan recharacterizations, divorce-related paperwork, and account transfers,
among others. These fees are in addition to the other fees described in this Item 5 and are
included in the terms of your agreement with HHCP.

D. Payment of Fees

Portfolio Management Fees
Asset-based portfolio management fees are withdrawn directly from the client's accounts
with client's written authorization on a monthly or quarterly basis; or may be invoiced and
billed directly to the client on a monthly or quarterly basis. Clients may select the method in
which they are billed. Fees are paid in advance or in arrears.

Consulting Services
Fees for consulting services will be invoiced to the client directly.

Payment of Selection of Other Advisers Fees
Fees for third-party advisers selected are included with HHCP’s standard fees and are
withdrawn directly from the client’s accounts by HHCP with client’s written authorization.
HHCP will compensate third party advisers for fees earned.
