ITEM 5 ‐ FEES AND COMPENSATION A. INVESTMENT MANAGEMENT FEES Ivesta bases its investment management fees on a percentage of assets under management. The fees are calculated based upon the market value of the assets being managed by the Firm on the last day of the previous billing period. The annual percentage fee amounts listed in the schedule below are prorated and charged quarterly, in advance. Ivesta’s fee will range between .50% and 1% depending on the size of the account at the commencement of the engagement. All valuations are adjusted on an annual basis (at the anniversary of the client relationship). Fees are earned in advance as of the commencement of the anniversary of the engagement and are billed quarterly. In the event the Agreement is terminated, the fee for the final billing period will be prorated through the effective date of the termination and the unearned portion will be refunded to the client, as appropriate. Exceptions may apply to fees paid in the first year of the engagement. Such exceptions are disclosed in the Agreement. B. PERFORMANCE FEES We may receive certain performance-based fees from clients. A detailed description of such fee arrangements is described in Item 6 of this form. C. CONCIERGE FEES Concierge fees will be charged on an hourly basis and will range from $200-300 per hour depending on the level of service provided. Such fees will be invoiced as rendered and will be due upon receipt. D. FEE DISCRETION With respect to any fees described above, Ivesta may, in its sole discretion, negotiate to charge a lesser or greater fee. E. ADDITIONAL FEES AND EXPENSES In addition to the fees paid to Ivesta, clients may also incur certain charges imposed by other third parties, such as broker-dealers, custodians, trust companies, banks, and other financial institutions (collectively “Financial Institutions”). These additional charges may include securities brokerage commissions, transaction fees, custodial fees, charges imposed directly by a money market fund in a client’s account, as disclosed in the money market’s prospectus (e.g., fund management fees and other fund expenses), deferred sales charges, odd-lot differentials, transfer taxes, wire transfer and electronic fund fees and other fees and taxes on brokerage accounts and securities transactions. Any such fees are separately negotiated between the client and third parties, and the Firm takes no responsibility for such contractual arrangements. Fees to portfolio managers should be in here. September 2025 Ivesta Corp. F. FEE DEBIT Clients are invoiced for the management fee and remit payment. The Firm does not debit client accounts for fees earned by the Firm. G. ACCOUNT ADDITIONS AND WITHDRAWALS Clients may make additions to and withdrawals from their account at any time, subject to Ivesta’s right to terminate an account. Additions may be in cash or securities, provided that the Ivesta reserves the right to liquidate any transferred securities or decline to accept particular securities into a client’s account. ITEM 7 ‐TYPES OF CLIENTS A. IN GENERAL Ivesta primarily provides its services to primarily ultra-high net worth individuals and their families. B. MINIMUM ACCOUNT SIZE To engage us for investment advisory services, we generally require new clients to have at least $20,000.000 to place under our management; however, this requirement is negotiable at Ivesta’s discretion, especially in the case of family members of existing clients.
