Item 5. Fees and Compensation Fees are billed at the inception of the account, prorated for the time remaining in the quarter and quarterly thereafter. Clients may terminate their relationship with KIA without penalty at any time upon written notice and they will receive a pro-rata refund of any fees paid in advance. Fees and minimum account sizes may be negotiable in certain circumstances as occasion may warrant in the judgment of KIA. Certain Clients may pay more or less than others depending upon the amount of assets, the type of account, the anticipated trading activity and the amount for special services required to service the account. Also, KIA, in its sole discretion, may waive its minimum fee and/or charge a lesser investment advisory fee based upon certain criteria (e.g., historical relationship, type of assets, anticipated future earning capacity, anticipated future additional assets, dollar amounts of assets to be managed, related accounts, account composition, negotiations with clients, etc.). Client accounts aggregated for reporting purposes (“house-holded”) may be also aggregated for purposes of KIA’s fee calculations. Furthermore, KIA may also have Clients with older fee arrangements which have been grandfathered. Investment Advisory Services Fee Schedule Investment management fees are billed quarterly, in arrears, meaning that we invoice you after the three- month billing period has ended. Fees are usually deducted from a designated client account to facilitate billing. The client must consent in advance to direct debiting of their investment account. The annual Advisory Service Agreement fee is based on the portfolio market value and/or investable assets at account opening according to the following schedule: Assets from Annual Fee (quarterly in arrears) $0 - $999,999 1.50% $1,000,000 to $1,499,999 1.25% $1,500,000 to $9,999,999 1.00% $10,000,000 to $14,999,999 0.90% $15,000,000 to $19,999,999 0.70% Over $20 million To be determined Current client relationships may exist where the fees are higher or lower than the fee schedule above. Form ADV Part 2A for KIA Page 10 of 21 Prepared by Connexien LLC ver. 03022026 Financial Planning Fees The fee for a financial review is predicated upon the facts known at the start of the engagement. The fee for a twenty-hour engagement is $5,000.00. Since financial planning is a discovery process, situations occur wherein the client is unaware of certain financial exposures or predicaments. If the client’s situation is substantially different than disclosed at the initial meeting, a revised fee will be provided for mutual agreement. The client must approve the change of scope in advance of the additional work being performed when a fee increase is necessary. Future face-to-face meetings may be scheduled, as necessary. Follow-up implementation work is billed separately at the rate of $50-$475.00 per hour depending on the level and scope of the project. Hourly Planning Services KIA provides hourly planning services for clients who need advice on a limited scope of work. The hourly rate for limited scope engagements is $50-$475 based on the level and scope of services provided. SEI Funds and SEI Asset Allocation Program Each SEI Fund pays an advisory fee to SIMC that is based on a percentage of the portfolio's average daily net assets, as described in the mutual fund’s prospectus. From such amount, SIMC pays the sub- advisor(s) to the fund. SIMC’s fund advisory fee varies, but it typically ranges from .10% - 1.50% of the portfolio's average daily net assets for its advisory services. Affiliates of SIMC provide administrative, distribution and transfer agency services to all of the portfolios within the SEI Funds, as described in the SEI Funds’ registration statements. These fees and expenses are paid by the SEI Funds but ultimately are borne by each shareholder of the SEI Funds. If a Client invests in a model available through the Asset Allocation Program, the Client will be charged the expense ratios of each of the SEI Funds included in the applicable model. Clients may have the option to purchase certain SEI investment products, including the SEI Funds, that SIMC recommends through other brokers or agents not affiliated with SIMC. SEI Platform Fees SEI Platform Fee 0.20% Advisory Firm Fee 1.00% Total Program Fee 1.20% For a more detailed explanation of SEI Funds and SEI Asset Allocation Program applicable to Client’s account, please review the account opening documents. KIA encourages Clients to review the Program Fee, as well as other account opening documents, carefully. Wealth Management Platform (“WMP”) WMP Choice The WMP Choice Program Fee is calculated at the household level based on the total assets under management on the WMP Choice Program. There is a minimum Program Fee of $250 per year applied to the total of all client assets on the program. Clients under the WMP Choice Program will be charged KIA’s advisory fees (see applicable fee schedule above) in addition to the Program Fee, which ranges from 3 to 20 basis points (.03% to .20%) depending on asset size, and the total is billed to the client. Item 7. Types of Clients
KIA is a SEC registered investment advisor providing personalized confidential financial planning and
investment advisory services to individuals, high-net-worth individuals, pension and profit-sharing plans
and corporations (collectively referred to as “Clients”).
Requirement for Opening Accounts (Minimum Investment Amount)
KIA’s fee range for each particular service is subject to negotiation and could vary depending upon
various circumstances, including the scope of the services to be provided (the minimum fees and fee
ranges for existing clients prior to current calendar year may differ from those indicated). However, KIA
may impose certain requirements for opening and/or maintaining an account, such as a minimum account
size or minimum fees and fee ranges.

The minimum investment required by an individual investor client is generally $1,000,000. Accounts
below these minimums may be negotiable and accepted on an individual basis at KIA's discretion.
However, KIA may from time to time establish, modify, and waive account or investment minimums for
different investment products and/or services. For example, accounts of less than $1,000,000.00 may be
set up when the client and the advisor anticipate the client will add additional funds to the accounts
bringing the total to $1,000,000.00 within a reasonable time. Other exceptions may apply to employees of
KIA and their relatives, relatives of existing clients, and other arrangements if deemed acceptable by the
firm. Also please see Fees and Compensation above for further details on investment minimums.
Minimum Investment Amount for Wealth Management Platform (“WMP”)
The minimum investment amount varies by the WMP investment program selected and may vary further
by Sub-Manager selected by the client. Generally, the investment minimums for the WMP investment
programs are as follows:

• WMP Separately Managed Account – $100,000
• WMP Genesis Model Portfolio – $5,500 |
