Item 5: Fees and Compensation
Asset Management: We offer services on a fixed and/or asset-based fee basis which is determined by the
amount of a Client’s assets under management and/or advisement. These fees may be negotiable at the
discretion of Legacy Road. Advisory fees are set forth in the client’s wealth management agreement
(“Agreement”) and vary in accordance with the following blended (weighted-average) fee schedule:

$50M - $100M 1.75%
$100M - $150M 1.50%
$150M - $200M 1.25%
$200M+ 1.00%
For example, if the total value of Client assets under management is $10,000,000, and there are 90 days in the
calendar quarter, the quarterly fee will be calculated as follows:
Quarterly Fee Calculation: $10,000,000 x (90/365) x 2.0% = $49,315
The fee will be assessed and billed quarterly in advance. The fee for any given calendar quarter is debited by
the Custodian from the Client account at the beginning of the calendar quarter based on the total asset value as
of the end of the preceding calendar quarter.

The first fee will be billed upon execution of the Agreement and will be based upon the opening asset value of
the Client. If the Agreement is executed other than at the beginning of a calendar quarter, the fee will be
prorated to reflect the actual number of days the Agreement will be in effect for that first calendar quarter.
The Agreement may be canceled at any time, by either party, for any reason upon 30 days written notice. Upon
termination of the Agreement, any prepaid unearned portion of the fee will be promptly refunded.
Non-Investment Advisory Consulting Services Fees
When charging a fixed fee for consulting services, such services may be subject to a separate consulting
agreement. Our fixed consulting fees are determined based on the depth and breadth of services to be
performed and agreed to by the Client prior to the beginning of the engagement. Fees for consulting services
will be billed to the Client quarterly and in advance. Upon termination of a consulting agreement, any prepaid
unearned portion of the fee will be promptly refunded.
Advisory Referral Services
It is Legacy Road’s policy not to accept or allow our related persons to accept any form of compensation,
including cash, sales awards or other prizes, from a non-Client in conjunction with the advisory services we
provide to our Clients.
From time to time, Legacy Road may enter into agreements with unaffiliated individuals and/or organizations
to act as Promoters for fee-based compensation. Legacy Road may also enter into agreements with unaffiliated
individuals and/or organizations to refer Clients to Legacy Road in exchange for non-fee based compensation,
such as a one-time nominal referral fee. All such agreements will be in writing and comply with the
requirements of Federal or State regulation. While the specific terms of each agreement may differ, the
compensation for Promoters is generally a percentage of the Client’s advisory fee that is based on the size of
the assets referred. The compensation for others is generally a one-time payment and not based on a
percentage of the fees paid to Legacy Road by the relevant Clients. Any such referral fee shall be paid solely
from the Legacy Road investment management fee and shall not result in any additional charge to the Client.
General Information
Limited Negotiability of Advisory Fees: Although Legacy Road has established the aforementioned fee
schedule(s), we retain the discretion to negotiate fees on a Client-by-Client basis. Client facts, circumstances
and needs are considered in determining the fee schedule. These include the complexity of the Client, assets to
be placed under management, anticipated future additional assets, related accounts, portfolio style and
account composition and reports, among other factors. As a result, similarly situated clients may pay different
fees. The specific annual fee schedule is identified in the agreement between the adviser and each Client.
Mutual Fund and Other Fees: All fees paid to Legacy Road for investment advisory services are separate and
distinct from the fees and expenses charged by mutual funds, ETFs, and/or other similar types of investments
to their shareholders. These fees and expenses are described in each fund's prospectus. These fees will
generally include a management fee, other fund expenses, and a possible distribution fee. If the fund also
imposes sales charges, a Client will pay an initial or deferred sales charge. A Client could invest in a mutual
fund directly, without our services. In that case, the Client would not receive the services provided by our Firm
which are designed, among other things, to assist the Client in determining which mutual fund or funds are
most appropriate to each Client's financial condition and objectives. Accordingly, the Client should review both
the fees charged by the funds, the less preferable share classes available, and our fees to fully understand the
total amount of fees to be paid by the Client and to thereby evaluate the advisory services being provided.
Platform and Third-Party Manager Fees: Clients may access investment strategies, model portfolios, or other
services through third-party asset management platforms. Depending on the circumstances, when these
services are utilized, Legacy Road may determine that the Client may pay the platform provider directly for
