Item 5: Fees and Compensation
The structure and level of Legend Capital’s advisory fees are negotiated individually based
on the services provided to the and other considerations deemed relevant by the Firm but
typically take the form of a percentage of assets under management, ranging from 0.50% to
1.50% per annum. However, Legend Capital may charge fixed advisory fees or a
combination of both fixed and a percentage of assets under management, depending on the
scope and complexity of services provided. Each Client’s fees are detailed in their advisory
agreement. Legend Capital generally charges investors in the Funds a 1.5% management
fee, and pursuant to the Funds’ governing documents, the Funds will reimburse Legend
Capital for all reasonable expenses disclosed in the Funds’ governing documents. Investors
and potential investors should refer to the governing documents of the Fund they are or have
invested in for specific details related to fees and expenses associated with that Fund.
Advisory fee structures may include, but are not limited to, asset-based fees, fixed family
office retainer fees, and performance-based fees. Fees are generally billed monthly in
arrears but may vary depending on each Client’s advisory agreement or a Fund’s governing
documents.
Legend Capital does not receive compensation from investment product sponsors. Any
third-party fees, such as custodial, brokerage, or fund-level expenses, are separate and borne
by each Client.
Clients can incur certain fees or charges imposed by third parties, other than Legend Capital,
in connection with investments made on behalf of a Client in their account. The Client is
responsible for all custody and securities execution fees charged by their custodian, as
applicable, unless otherwise agreed in writing. The fees charged by Legend Capital are
separate and distinct from these custody and execution fees.

Item 7: Types of Clients
Legend Capital offers investment advisory services to ultra-high-net-worth individuals and
families, as well as trusts, foundations, endowments, non-profit organizations, private
investment funds, and other business entities such as family offices. The Firm generally
requires a minimum relationship size of $25 million. However, the Firm, in its sole
discretion, may advise Client accounts below the minimum.
