Item 5. Fees and Compensation Investment Management Fee The Mosaic Strategy pay Lingotto US an annual management fee based on the aggregate commitments of the Mosaic Strategy’s limited partners during the commitment period. Thereafter, until the final distribution of the Fund’s assets, the management fee is based on the aggregate unreturned capital contributions (or outstanding amounts borrowed by the Fund in lieu thereof) of the limited partners. Innovation Ventures pays Lingotto US an annual management fee based on the aggregated commitments of its limited partners. The management fee rate is stepped down following the conclusion of the Fund’s investment period. Details of management fees payable by the Mosaic Strategy and Innovation Ventures to the Firm are included in the governing documents and information memoranda of each Fund. Performance Fee/Carried Interest The Funds pay a performance-based fee in the form of carried interest as described below in Item 6. depending on the terms of the relevant Fund’s offering memoranda. Transaction Fee Certain transaction-related fees consisting of, generally, any arrangement fees, origination fees, underwriting fees, structuring fees, syndication fees, upfront fees, facility fees, monitoring fees, directors’ fees, break-up fees, financial consulting fees, advisory fees and other similar fees may be paid to Lingotto US or its affiliated entities. The Management Fee payable by a Fund to Lingotto US will, in general, be reduced by an amount equal to the transaction fees. Expenses In addition to the management fee and the carried interest outlined in Item 6 below investors in a Fund also pay formation and preliminary expenses of the fund; the costs and expenses incurred in the course of fund operation which may include without limitation, taxes, expenses for legal, auditing and consulting services, research, registration fees and other expenses due to supervisory authorities, insurance, including directors and officers insurance (including, where applicable, in respect of any general partner to a Fund), interest, brokerage costs, all fees and expenses of transactional, risk, market data and trade-related services; fees of the relevant Fund’s (or its general partner’s, if applicable) directors which shall include reasonable traveling, hotel accommodation and other out-of-pocket expenses incurred by them while executing their duties as directors; fund administrator fees; custodian fees; prime broker fees; fund secretary fees; auditor fees and expenses; and other service provider fees. Fund investors may also be subject to subscription and/or redemption charges as specified in the relevant fund’s offering documents. Item 7. Types of Clients As described in Item 4, Lingotto US provides investment advisory services on a discretionary basis to the Mosaic Strategy and Innovation Ventures, and provides non-discretionary investment advisory services to Lingotto UK in respect of the Innovation Funds and the SMAs. The Funds are available for investment by both U.S. and non-U.S. investors. U.S. investors in the Funds are typically limited to persons who are “qualified purchasers” as that term is defined in the Investment Company Act of 1940, “qualified clients,” as that term is defined under the U.S. Investment Advisers Act of 1940, and “accredited investors” as that term is defined in Regulation D promulgated under the U.S. Securities Act of 1933, as amended. Investors in the Fund may include, but are not limited to, high net worth individuals, family offices, companies, pension funds, charitable organizations, life assurance companies, other regulated investment advisers, and state-sponsored funds. Separately, and as mentioned in Item 4, Lingotto US also advises a co‑investment vehicle that participates in certain investments alongside the Mosaic Funds (the “Mosaic Co‑Investment Vehicle”). The Mosaic Co‑Investment Vehicle is a privately offered pooled investment vehicle available only to eligible investors as described in its governing documents. The minimum initial or additional subscription or investment amounts are set forth in the governing documents of the Fund. |
