Item 5 – Fees and Compensation

The fees applicable to each Client are set forth in detail in the Client Documentation for such Client.

Management Fees

The Firm generally charges the Funds a management fee, payable quarterly in advance, up to 2.0% of (a)
aggregate funded or unfunded investor commitments and (b) the amount of SBA debentures granted in
the funds SBA license.

General. Management fees paid to LongueVue for services provided to a Client are typically based on a
specified percentage of capital commitments, invested capital (including, if applicable, borrowed
amounts), net asset values or other similar metrics applicable to such Client, in each case as set forth in
the Client Documentation for such Client. Further, the Investment Adviser from time to time enters into
economic and/or other fee sharing arrangements with respect to one or more Clients and/or certain
investors thereof and/or more third parties, the rights of which will not generally be made available to

other investors.

Method of Payments. Management fees are paid to LongueVue by calling capital from the investors of a
client, or directly billing a Client or the investors of such Client or paying such fees from otherwise
distributable cash or other cash on hand of the applicable Client, in each case pursuant to the applicable
Client Documentation as agreed to between Client or the investors of such Client and LongueVue. The
Management Fee can be reduced by certain fees received by the General Partners or its Affiliates, excess
Organizational Expenses, or Breakup Fees, if applicable. In addition, LongueVue and the Fund’s
respective general partner have the authority to waive or reduce fees charged to certain investors.

Timing of Payments. Management Fee are typically paid by a Client to LongueVue quarterly in advance,
unless otherwise agreed to by a Client and LongueVue and as set forth in the applicable Client
Documentation.

Other Types of Fees or Expenses

Expenses of the Investment Adviser. Except as provided herein or in the applicable Client Documentation, the
Investment Adviser and its affiliates will be responsible for their respective administrative and overhead
expenses (including general systems and technology, but excluding systems, data and technology developed
or purchased for the predominant benefit of a Client’s investment program), rent and general office overhead
expenses and compensation of their employees.

Expenses of the Client. Subject to the terms of the Client Documentation for a Client, each Client, will
typically bear all organizational expenses, operating expenses and other expenses, including those incurred by
the Investment Adviser and its affiliates on behalf of such Client, related to the formation and operation of
such Client and the execution of the Client’s investment strategy (and a share of any expenses incurred in
respect of more than one Client, with such expenses shared as provided for the relevant Client Documentation
or the Investment Adviser’s expense policies) including, but not limited to:
     -    costs and expenses of the Fund relating to the annual audit of the Fund and the preparation of Federal
         and state tax returns of the Fund;
     - all interest and expenses payable by the Fund on any indebtedness incurred by the Fund;
     - all amounts payable to SBA under the SBIC Act (including, without limitation, SBA examination fees)
         or incurred as a result of being licensed as an SBIC, and all amounts payable in connection with any
         SBA Leverage commitment or draw and any outstanding Leverage;
     - taxes payable by the Fund to Federal, state, local and other governmental agencies;
     - Management Fees;
     - expenses incurred in the actual or proposed acquisition and/or disposition of assets, including without
         limitation, accounting fees, brokerage fees, legal fees, transfer taxes, broken deal costs and third party
         administrator expenses;
     - legal expenses of the Fund;
     - insurance and premiums protecting the Fund, the General Partner, the Manager and any of their
         officers, directors, managers, owners, and employees (including any insurance contemplated);
     - fees or dues in connection with the membership of the Fund in any trade association for small business
         investment companies and attendance at events for such trade associations;
     - reasonable costs and expenses associated with meeting of the Limited Partners with the General
         Partner and meetings of the Fund’s advisory board;
     - Indemnification Expenses;
     - any other out-of-pocket organizational, syndication and start-up expenses of the Fund and the General
         Partner, including legal, travel, accounting, filing, capital raising, the costs of obtaining the Fund’s
         SBIC license and expenses

    -   securities filing fees related to a Portfolio Company; and any other costs of the Fund not reimbursed
        by Portfolio Companies, including specialized outside consulting

To the extent that any fees and expenses related to a specific investment were incurred on behalf of more than
one Client, each Client will generally bear its pro rata portion of any such fees and expenses consistent with
industry best practice.

LongueVue provides portfolio management services to private pooled investment vehicles. The
minimum investment in a Fund varies according to strategy and can be found in the relevant Fund’s
Governing Documents.
