Advisory Fees and Compensation

In return for investment management services performed, Longview Partners may charge either a
management fee (based as a percentage of assets under management) or a combination of a lower
management fee and a performance-based fee.

Management Fees
Longview’s Standard Management fee rate is based on the tiered fee schedule as laid out below:

           0.75% on the first $50 million of assets under management;
           0.65% on the next $50 million;
           0.50% on the next $150 million;
           0.45% on the next $250 million; and
           0.40% on the remainder of assets under management.

The management fee is generally payable quarterly in arrears, calculated on the average month end net asset
value of the account.

Item 7. Types of Clients

Longview Partners’ clients are almost exclusively institutions; corporate pension plans, government owned
funds, pension plans of UK local authorities, sub-advisory accounts, US states, superannuation schemes,
charities, foundations and endowments, as well as pooled investment vehicles. Our client base is almost
entirely institutional with clients in North America, the UK, Europe, Australia and Asia.
